Churchill Downs Acquires 49% of United Tote
Churchill Downs announced that it has signed a definitive agreement to acquire 49% of United Tote from NYRA Content Management Solutions, a subsidiary of the New York Racing Association, or NYRA. Churchill Downs sold a 49% interest in United Tote to NYRA in April 2024, and NYRA agreed to utilize United Tote for their racetrack and gaming related pari-mutuel wagering systems. Concurrent with this transaction, NYRA has agreed to extend their tote services agreement with United Tote through 2035. United Tote manufactures and operates pari-mutuel wagering systems for racetracks, off-track betting facilities and other wagering operators. This acquisition supports Churchill Downs' long-term strategy to own and vertically integrate key technologies and services related to pari-mutuel wagering and horse racing, while strengthening the company's position as a leading B2B distributor of horse racing content and provider of racing services. The transaction is expected to close by August 5.

Churchill Downs Notified by Maryland of Acquisition Rights
Churchill Downs has been notified by the State of Maryland of the State's intention to exercise rights under Maryland Code Ann. Bus. Reg. Section11-520(d) to acquire the intellectual property, including all trademarks and associated rights, of the Preakness Stakes and Black-Eyed Susan Stakes from 1/ST Maryland LLC, an affiliate of 1/ST Racing, by matching the purchase price of CDI's previously-announced agreement to acquire the Preakness IP Rights for $85M.
