American Ocean Minerals Appoints Paul Warme as CFO
American Ocean Minerals announced that Paul Warme has been appointed CFO. Through its previously announced merger with Odyssey Marine Exploration, AOMC is establishing a U.S.-based global supply chain for critical minerals and rare earth elements sourced from deep-sea polymetallic nodules, and Warme's appointment further strengthens the executive leadership team as the Company advances that mission. Most recently, he served as General Manager at BlueScope Steel.
American Ocean Minerals Completes Seafloor Survey in Cook Islands
American Ocean Minerals highlighted Moana Minerals' completion of a high-definition autonomous underwater vehicle seafloor survey within its Exploration License 3 area in the Cook Islands Exclusive Economic Zone, producing one of the most detailed photographic datasets collected to date within EL3. The lean-crewed Armada 8605, part of Ocean Infinity's Armada fleet of vessels designed to deploy advanced underwater robotic systems for offshore data collection, deployed three HUGIN AUVs equipped with cameras, side-scan sonar, and environmental sensors. Over approximately ten days, the AUVs generated more than 600,000 seafloor photographs and detailed mapping datasets across targeted areas of EL3. The campaign continued Moana Minerals' ongoing survey and research activities. While the MV Anuanua Moana program collects broad physical, chemical, biological and geological baseline data across multiple survey areas and seasons, the Armada 8605 survey concentrated on a smaller target area at higher resolution, adding a new layer of detail to Moana Minerals' environmental and resource work in the Cook Islands. The photographic, sonar and environmental sensor data will enhance understanding of seafloor conditions, habitat characteristics, polymetallic nodule distribution and abundance, and environmental variability within EL3, supporting Moana Minerals' ongoing environmental baseline program, future Environmental and Social Impact Assessment work, resource definition activities and engagement with Cook Islands regulators and stakeholders. Data processing and quality control are expected to be completed by the third quarter of 2026. Moana Minerals plans to apply artificial intelligence to the imagery to identify, count and characterize nodules and seafloor life, laying the groundwork for one of the first comprehensive AI-based assessments of the Cook Islands deep seafloor environment. Consistent with its license and data-transparency commitments in the Cook Islands, the resulting data, including raw imagery and AI-derived analysis, will be shared with the Cook Islands and, over time, made accessible to all researchers in support of AOMC's commitment to data sharing and scientific research.
American Ocean Minerals Merger with Odyssey Marine Approved
American Ocean Minerals Corporation, or AOMC, which is undergoing a previously announced merger with Odyssey Marine Exploration, announced that the National Oceanic and Atmospheric Administration - NOAA - has determined that its wholly owned subsidiary AOM Area-1's consolidated application is in substantial compliance with applicable requirements under the Deep Seabed Hard Mineral Resources Act, or DSHMRA, allowing NOAA's formal environmental, public, and regulatory review to proceed. The DSHMRA provides the legal framework for U.S. companies to explore and recover deep-seabed minerals in international waters. AOM Area-1's application area comprises approximately 147,054 km across five non-contiguous subareas in the eastern-central Clarion-Clipperton Zone. The application area was selected following a review of publicly available ISA exploration contract areas, reserved areas, and Areas of Particular Environmental Interest and was designed to avoid overlap with those areas.
Odyssey Marine and AOMC Propose Merger
Odyssey Marine Exploration and American Ocean Minerals Corporation announce Odyssey has filed a registration statement on Form S-4 with the U.S. Securities and Exchange Commission in connection with the companies' previously announced proposed merger transaction. The proposed transaction is intended to create a scaled marine critical minerals platform by combining Odyssey's operational experience and public-company infrastructure with AOMC's capital resources, strategic investments and multi-jurisdictional marine mineral portfolio. AOMC's strategy combines a multi-jurisdiction asset base with a staged commercialization plan. The platform is expected to include interests associated with existing Cook Islands exclusive economic zone exploration licenses held by CIC Limited and Ocean Minerals LLC's subsidiary Moana Minerals Ltd., together with U.S.-pathway application-stage project areas being pursued through AOM Area-1 LLC and AOM Area-2 LLC under the Deep Seabed Hard Mineral Resources Act, administered by the National Oceanic and Atmospheric Administration.
American Ocean Minerals Deploys MV Anuanua Moana for Research Activities
American Ocean Minerals Corporation, AOMC, announced deployment on the next phase of scientific research activities of the MV Anuanua Moana. The deployment reflects a key operational capability underpinning AOMC's recently announced definitive merger agreement with Odyssey Marine Exploration, which will create a premier, U.S.-controlled deep-sea critical-minerals platform valued at approximately $1 billion.
