A-Mark Precious Metals Reveals Deal to Purchase Monex Precious Metals
A-Mark Precious Metals announced a definitive agreement to acquire all of the outstanding equity of Monex Deposit Company and certain related entities. "After working with Monex for decades, we are thrilled to welcome them under the A-Mark umbrella," said Roberts. "Michael and his team have built a strong business that has performed well even through periods of subdued demand. Their broad customer base and established storage business will be valuable assets as we move forward together." The purchase price to be paid by the Company for the Monex acquisition is $33M consisting of $19M in cash and $14M in A-Mark common stock valued at $25.00 per share in accordance with the terms of the definitive agreement. There is a holdback of 29% of the common stock to satisfy potential indemnification claims. The definitive agreement also provides for an additional deferred purchase price of up to $20M based on the achievement of specified levels of cumulative pre-tax income. The transaction is expected to close within 60 days, subject to the satisfaction of customary closing conditions, including a minimum level of tangible net worth.
A-Mark Precious Metals to Rebrand as Gold.com and List on NYSE
A-Mark Precious Metals announced a corporate rebranding initiative that will change its name to "Gold.com" and transfer its common shares from the Nasdaq to the New York Stock Exchange, effective Dec. 2, 2025. The shares of the Company, to be known as Gold.com, are expected to trade under the symbol "GOLD." This strategic evolution better aligns the Company's corporate identity with its category leadership in precious metals, coins, currency, and other collectibles, with services spanning Direct-to-Consumer, Wholesale Sales & Ancillary Services, and Secured Lending. With $11.9 billion in revenues for the 12 months ending Sept. 30, 2025, and a strong balance sheet, Gold.com will operate as one of the most comprehensive vertically integrated precious metals platforms for global customers, retailers, collectors, and institutional clients.

Reports Q4 revenue $2.51B, consensus $2.91B. The company said, "Our fourth quarter results underscore the resilience of our business during a challenging market, characterized by increased supply and range bound premium spreads, generating GAAP net income of $10.3 million and diluted EPS of $0.41 per share."

"Although the environment has since stabilized, early-quarter concerns around tariffs led to decreased market liquidity and backwardation, contributing to trading losses and higher interest expense due to increases in product financing rates. Despite these headwinds, one-time acquisition-related costs of $4.6 million and a one-time remeasurement loss of $7.0 million on our Pinehurst Coin Exchange, Inc. ("Pinehurst") pre-existing equity interest, we delivered $41.0 million in gross profit, $5.7 million in non-GAAP adjusted net income and $1.3 million in non-GAAP EBITDA."
