Millrose Properties Commits Up to $1.25B Financing for Dream Finders' Acquisition of Beazer Homes
Millrose Properties (MRP) announced a commitment by its manager to provide acquisition financing of up to $1.25B to support Dream Finders Homes (DFH) publicly announced acquisition of Beazer Homes (BZH). The commitment represents the third instance since Millrose's founding of the company's unique capability to provide land banking capital in support of a homebuilder acquisition. Under the arrangement, Millrose plans to acquire homesites from the combined Dream Finders and Beazer organization, enabling Dream Finders to achieve capital-efficient growth in controlled homesites while preserving balance sheet flexibility. Dream Finders will maintain option agreements on homesites acquired from Beazer, paying option fees during the development period and purchasing finished homesites over time.

Millrose Properties and JPI Close Land Acquisition
Millrose Properties and JPI announced the closing of the first acquisition in a new land banking facility established by JPI and Kennedy Lewis Investment Management, the parent of Millrose's external manager, to fund Class A multifamily land acquisition and development across JPI's target markets. Millrose will acquire and fund development of sites for the land banking facility, which funds land across JPI's multifamilpipeline, allowing JPI to advance projects with greater capital efficiency while preserving balance sheet flexibility. Rather than tying up capital in land it would otherwise own outright, JPI will access sites through Millrose's permanent capital structure, paying option fees during the development period and taking down sites as its pipeline matures. For Millrose, the partnership opens a new use case for its homesite option platform - extending the model into multifamily alongside its existing for-sale and build-to-rent programs.

Millrose Properties (MRP) announced its intent to provide land banking capital to support Dream Finders Homes' (DFH) proposed acquisition of Beazer Homes (BZH). Upon completion of the acquisition, Millrose intends to acquire homesites currently owned by Beazer Homes, enabling Dream Finders to achieve capital-efficient growth in controlled homesites while preserving balance sheet flexibility. Millrose believes this transaction represents an attractive opportunity additive to Millrose's existing pipeline. To support incremental capital capacity for this opportunity, Millrose has received a letter from Goldman Sachs stating that it is highly confident that financing of up to $500 million can be arranged in connection with the transaction. Millrose's existing pipeline will continue to be funded through available capacity under its existing unsecured credit facility and from scheduled homesite sale proceeds. The transaction is expected to result in a temporary increase in Millrose's debt-to-capitalization ratio above its leverage policy target. The Company plans to restore its target leverage through potential future accretive equity issuances above book value or organic deleveraging from operating cash flows, including homesite sale proceeds. Millrose remains committed to its policy of not issuing equity below book value.
