Moderna Announces $2.6B Convertible Senior Notes Offering
Moderna announced the pricing of $2.6B aggregate principal amount of 0.00% Convertible Senior Notes due 2032 in a private placement only to persons reasonably believed to be "qualified institutional buyers" pursuant to Rule 144A under the Securities Act of 1933, as amended. The offering was upsized from the previously announced offering size of $2.0B aggregate principal amount of the notes. Moderna has also granted the initial purchasers of the notes an option to purchase, for settlement during a 13-day period beginning on, and including, the date on which the notes are first issued, up to an additional $400.0 million aggregate principal amount of the notes. The sale of the notes to the initial purchasers is expected to close on September 1, 2026. The conversion rate will initially be 4.7487 shares of Moderna's common stock per $1,000 principal amount of notes (equivalent to an initial conversion price of approximately $210.58 per share of Moderna's common stock). The initial conversion price represents a premium of approximately 47.5% over the last reported sale price of $142.77 per share of Moderna's common stock on the Nasdaq Global Select Market on August 27, 2026.
Moderna Receives FDA Approval for Updated Spikevax Vaccine
Moderna announced that the U.S. Food and Drug Administration has approved the supplemental Biologics License Applications for the 2026-2027 formulas for Spikevax and mNEXSPIKE, containing the JN.1-lineage XFG subvariant of SARS-CoV-2 to help prevent COVID-19. The updated formula for Spikevax is now approved for individuals 6 months through 64 years of age with at least one underlying condition placing them at high risk for severe outcomes from COVID-19, and all adults 65 years of age and older. mNEXSPIKE, Moderna's latest COVID-19 vaccine, is approved for individuals 12 through 64 years of age with at least one underlying condition that puts them at high risk for severe outcomes from COVID-19, and all adults 65 years of age and older.
