GoPro Enters Merger Agreement with Starman Optical
In a regulatory filing, GoPro disclosed that it sent the following email to its employees: "Today, we announced that GoPro entered into a definitive agreement to merge with Starman Optical, a privately held U.S.-based optical-photonics company... This transaction is a major milestone in the strategic review process we announced in May, and I believe it's a very positive path for GoPro, our employees, our customers and our shareholders. Starman Optical has the resources to help us scale-expand our consumer product roadmap, grow our software and subscription business, and broaden the categories we compete to include commercial and defense markets. And they are very strategically positioned in the AI infrastructure industry as an up and coming U.S. manufacturer of optical transceivers that we believe will bring in meaningful high margin revenue to help fund GoPro's growth initiatives into new markets-establishing GoPro over time as a diversified optics and imaging company across consumer, commercial and defense while creating significant value for shareholders. To do that, they need our collective experience to execute and succeed. It's our collective opportunity to rise to the occasion in each of our respective roles. If you believe you can take on more than you are today-more scope, more ownership, more impact-now is the time to show it. And if you're already executing at a high level, thank you. GoPro Shares Jump 60% on Deal Headlines
GoPro goes meme for second day on deal headlines. Shares jumped 52c, or 60%, this morning to $1.40 after rising 46% on Monday from 60 to 88c, with option activity hitting an 8 year high on news of a cash deal with Starman Optical. Over 200k contracts traded by noon ETwith calls leading puts 5:2 and implied volatility off nearly 100points from Mondays 200% closing level. On Monday, 107k calls traded vs 5100 puts with volume spiking at 11:21am ET as shares traded 72c and data shows a customer paid 7c for nearly 10 Oct 2 calls to open a new position which traded as high as 30c this morning when shares touched highs near 1.60.
GoPro Shares Rise 51% to $1.32 After Merger Announcement
Shares of GoPro were up 44c, or 51%, to $1.32 after resuming trading. Earlier, the company announced a definitive merger agreement with Starman Optical, a privately held optical-photonics company.
GoPro and Starman Optical Enter Merger Agreement with $285M Cash Payment
GoPro and Starman Optical announced that they have entered into a definitive merger agreement. In connection with the proposed transaction, GoPro shareholders will receive an aggregate cash payment of $285M, or $1.14 per share, subject to potential adjustment based on GoPro's net working capital at closing and will maintain ownership of approximately 10% of the outstanding shares of the Company. GoPro's outstanding debt of approximately $92M will be repaid in full at closing. GoPro will remain a publicly listed company. Starman's U.S.-made optical transceivers are expected to be added to GoPro's portfolio. The transaction has been approved by GoPro's Board of Directors and by the Board of Starman. It is expected to close by year-end 2026, subject to regulatory approvals and other customary closing conditions, including approval by GoPro's stockholders.

GoPro is set to to resume quoting at 9:55 am ET and resume trading at 10 am ET, according to Nasdaq. Shares were halted, pending news, ahead of the company announcing a definitive merger agreement with Starman Optical, a privately held optical-photonics company.
