OIO Group Collaborates with Italtecnica on De Tomaso V12 Development
OIO Group announced its collaboration with Italtecnica Engineering on De Tomaso's next-generation V12 program, as prototype bench testing commences following the completion of the engine's design and engineering phase. De Tomaso's V12 is a clean-sheet, bespoke powertrain engineered exclusively for the marque. Rather than adapting an existing OEM engine architecture, the program has been conceived from first principles to embody De Tomaso's vision of mechanical purity, analogue driving and automotive craftsmanship. With prototype bench testing now underway, the program enters the critical validation phase, where the engine will undergo durability, calibration, thermal management and performance testing before progressing to vehicle integration.
OIO Group Proposes Acquisition of German Automotive Engineering Platform
OIO Group announced that it has entered into a term sheet in relation to the proposed acquisition of a privately held German-based specialist automotive engineering and production platform. The term sheet contains certain binding provisions relating to exclusivity, confidentiality, cooperation and the transaction process. The term sheet provides OIO Group with a 75-day exclusivity period to conduct due diligence and negotiate definitive transaction documents. Completion of the proposed acquisition remains subject to due diligence, valuation review, definitive agreements, financing or funding arrangements, conditions precedent and final approval by OIO Group's board of directors. The parties will proceed with due diligence and continue negotiating definitive transaction documents during the exclusivity period. The target platform is associated with specialist automotive engineering, prototype development, low-volume production and related technical capabilities serving performance and specialty vehicle applications in Europe. OIO Group believes these capabilities are closely aligned with its strategic direction and would support the scaling and execution of the De Tomaso P72 and P900 programs. There can be no assurance that the proposed transaction will be completed on the terms currently contemplated, or at all. Shareholders and potential investors of OIO Group are advised to exercise caution when dealing in the securities of OIO Group.

OIO Group Approves 1-for-3 Reverse Stock Split
OIO Group announced that its board of directors has approved a reverse stock split of the company's issued and outstanding ordinary shares at a ratio of 1-for-3, which will become effective at 12:01 a.m. Eastern Time on April 24. The reverse stock split will be effected in connection with, and immediately prior to, the concurrent closing of the company's previously announced business combination with De Tomaso Automobili Holdings Limited and the commencement of trading of the company's ordinary shares on The Nasdaq Capital Market on a split-adjusted basis under the symbol "OIO".
