Company Announces Layoff Plan Affecting 64 Employees
In a regulatory filing, the company stated: "In connection with the completion of the previously announced merger involving Sumisho Air Lease Corporation merging with and into Takeoff Merger Sub Inc., a Delaware corporation, with the Company surviving the Merger as an indirect subsidiary of Sumisho Air Lease Corporation Designated Activity Company, an Irish private limited company, on April 8, 2026, the Company approved a plan to reduce its workforce, currently affecting 64 employees, a 40% reduction in workforce as compared to December 31, 2025. Impacted employees were notified between April 8, 2026 and April 10, 2026, and workforce reductions related to announced plans are expected to be completed in the second and third quarters of 2026. All employees affected by the reduction in workforce will be eligible to receive, among other things, severance payments based on the applicable employee's length of service with the Company and the continuation of benefits for a specified time period post-termination."
Sumitomo Corp and Partners Complete Acquisition of Air Lease Corp
Sumitomo Corporation (SSUMY), SMBC Aviation Capital, Apollo-managed funds (APO) and Brookfield (BN) announced that they have completed the previously announced acquisition of Air Lease Corporation (AL) and have renamed the business Sumisho Air Lease Corporation. The companies said, "This transformational transaction improves the financial position of the business with long term support and aviation expertise from co-investors Sumitomo Corporation, SMBC Aviation Capital, Apollo and Brookfield. Sumisho Air Lease's strong foundation as an established aircraft lessor, supported by SMBC Aviation Capital's industry-leading capabilities as servicer, creates a platform with the scale and financial strength needed to meet the fast-changing and increasingly complex requirements of airline customers. Sumisho Air Lease will also benefit from the deep expertise and long-standing commitment that both Sumitomo Corporation and SMBC Aviation Capital bring to the global aviation leasing sector." As part of the overall transaction, Air Lease's orderbook has now transferred to SMBC Aviation Capital, bringing SMBC Aviation Capital's orderbook with Airbus and Boeing to c. 420 aircraft. SMBC Aviation Capital will be the servicer to the majority of Sumisho Air Lease's portfolio of aircraft, bringing SMBC Aviation Capital's Owned, Serviced and Committed aircraft to over 1700 across over 170 airline Customers. The transaction was originally announced in September 2025, with Sumitomo Corporation, SMBC Aviation Capital, Apollo and Brookfield agreeing to acquire Air Lease for total valuation of approximately $7.4B, or approximately $28.2B including debt obligations to be assumed or refinanced net of cash.

Air Lease Receives Final Regulatory Approval for Merger
Air Lease announced the receipt of the final regulatory approval that is a condition to closing Air Lease's previously announced merger with a subsidiary of Sumisho Air Lease Corporation DAC, a holding company based in Dublin, Ireland, whose shares at closing will be held directly or indirectly by Sumitomo Corporation, SMBC Aviation Capital Limited and investment vehicles affiliated with Apollo managed funds and Brookfield. Air Lease expects to complete the merger on or about April 8, 2026, subject to the satisfaction of the remaining closing conditions set forth in the merger agreement and discussed in detail in the definitive proxy statement filed with the U.S. Securities and Exchange Commission by Air Lease on November 4, 2025.
