Velocity Financial Acquires Toorak Capital Operating Platform for Approximately $3.2 Billion
Velocity Financial (VEL) announced a definitive agreement to acquire the operating platform of Toorak Capital, a business-purpose lending and asset management platform which is majority owned by funds advised by affiliates of KKR (KKR). Toorak has also entered into separate agreements with a third-party investment firm for the purchase of Toorak's existing portfolio of business-purpose loans totaling approximately $3B in unpaid principal balance across whole loans and loans held in Toorak Mortgage Trust and TRK Trust securitizations. In connection with the closing of the transactions, Velocity will also enter into an agreement with the third-party investment firm to manage the portfolio acquired from Toorak, as well as agreements to sell future Toorak loan production to the third-party investment firm and other counterparties. The total value of the platform and portfolio transactions is estimated at approximately $3.2B based on Toorak's consolidated balance sheet as of June 30, 2026.

Velocity Financial "announced the appointment of Dean Thevaos as Chief Technology Officer, effective June 1. Thevaos will lead Velocity's technology and engineering organization, with a mandate to modernize the company's platform, deepen its product capabilities, and build the operational infrastructure that supports efficient, scalable growth."

Reports diluted book value per common share of $17.75, an increase of 19.4% from $14.87 as of March 31, 2025. The company said, "Velocity continued to deliver impressive earnings in the first quarter of 2026. Velocity's first quarter 2026 results were driven by higher portfolio net interest income and noninterest income from our growing portfolio and new production volume. Financing demand remained strong during the quarter, in both the traditional commercial and 1-4 family residential rental property markets, as investors continued to see considerable value in smaller commercial properties. We remain confident in Velocity's long-term growth prospects and our ability to sustain profitable market share growth."
