LivePerson Board Urges Shareholders to Support Acquisition by SoundHound AI

LivePerson's (LPSN) Board of Directors has issued a formal letter urging stockholders to vote "FOR" the Company's pending acquisition by SoundHound AI (SOUN). A Special Meeting of Stockholders to vote on the merger is scheduled for August 20. The LivePerson Board of Directors unanimously recommended that stockholders vote "for" the transaction, and independent proxy advisory firms ISS and Glass Lewis support the Board's recommendation. The LivePerson board encourages stockholders to predicate their vote on the following facts: a vote "for" the transaction is a vote "in favor of exchanging shares at an attractive premium for shares in a company with a strong balance sheet and future potential upside"; a vote "against" the transaction, or no vote at all, "potentially exposes stockholders to the significant risks associated with continuing as a standalone company", including "the risks of continued slowing or degradation of LivePerson's business given commercial headwinds from the company's standalone financial profile, potential delisting from the Nasdaq, and potential inability to service or repay LivePerson's substantial debt and/or comply with debt-related financial covenants, which could eventually lead to reorganization, in which stockholders would in all likelihood receive no value for their shares". The transaction requires approval by the holders of a majority of all outstanding shares.

LivePerson Urges Shareholders to Vote 'FOR' Transaction with SoundHound AI

LivePerson (LPSN) announced that it has mailed a letter to stockholders urging them to vote "FOR" the company's previously announced transaction with SoundHound AI (SOUN). LivePerson also announced that it will host an investor town hall and Q&A session on Wednesday, August 5, at 8:00 a.m. Eastern Time to discuss the benefits of the transaction. The town hall can be accessed by logging onto the investor relations section of the company's website.

SoundHound AI Acquires LivePerson for $43M

SoundHound AI (SOUN) and LivePerson (LPSN) announced they have entered into a definitive agreement under which SoundHound will acquire LivePerson. The combination unifies SoundHound's voice and agentic AI platform with LivePerson's digital engagement capabilities. The acquisition will also deliver additional revenue and scale to SoundHound AI, enhancing the company's leadership position as a provider of voice and agentic AI to many of the world's premier enterprise businesses. SoundHound is acquiring LivePerson for an equity value of $43M, representing approximately a 22% premium over the corresponding 30-day volume-weighted average value. At closing, SoundHound expects to receive $74M of LivePerson's cash balance prior to repayment of the 2026 Convertible Senior Notes. After taking into account significant discounts on LivePerson's remaining debt, the transaction implies a total enterprise value of $250M.
