Hitek Global Acquires Ju Fu Limited for $20 Million
Hitek Global announced that, on August 3, it entered into a Share Purchase Agreement, or SPA, with MAI THI MY UT and certain other parties, pursuant to which Hitek will acquire from the Seller all of the issued and outstanding shares of Ju Fu Limited, a business company incorporated in the British Virgin Islands. Ju Fu, through its wholly owned subsidiaries, Fourth Coco Technology Limited and Beijing Fourth Coco Technology operates an advertising and digital marketing business under the "Beijing Fourth Coco" brand, providing media planning and buying, advertising campaign management, performance marketing, data analytics, technology support and related services. Under the SPA, the aggregate purchase price is $20M, consisting of aggregate cash consideration of up to $14M comprising $11M payable at the two closings and up to $3M in deferred cash consideration subject to the achievement of specified performance targets, and 4M Class A ordinary shares of the Company. Such consideration shares will be subject to the performance-based lock-up, release, forfeiture, cancellation and sale-proceeds limitations set forth in the SPA. The transaction is expected to close in two stages, subject to the satisfaction or waiver of customary closing conditions. The first closing is expected to occur on or around August 11.

HiTek Global Enters Agreement to Sell $8M in Securities
HiTek Global announced that it has entered into a definitive agreement with certain investors for the purchase and sale of an aggregate of approximately $8M of the company's securities, including 4M Class A ordinary shares and 4M warrants at a purchase price of $2.00 per share in a registered direct offering. Each warrant has an exercise price of $4.5678 and is exercisable to purchase 3.8 shares. The aggregate gross proceeds to the company of this offering are expected to be approximately $8M. The transaction is expected to close on or about June 3, subject to the satisfaction of customary closing conditions. Univest Securities is acting as the sole placement agent.
