Curis Prices Public Offering of 3.73 Million Shares, Raising Approximately $5.6 Million
Curis announced the pricing of its public offering with certain new and existing healthcare-focused institutional investors for the purchase and sale of 3,733,334 shares of common stock of the company and warrants to purchase up to 3,733,334 shares of common stock at a combined public offering price of $1.50 per share and accompanying common warrant. The common warrants will have an exercise price of $1.75 per share, will be exercisable immediately and will expire five years from the issuance date. The pre-funded warrants will have an exercise price of $0.01 per share and will be exercisable immediately until exercised in full. The gross proceeds from the Offering are expected to be approximately $5.6M, before deducting placement agents fees and estimated Offering expenses payable by Curis. The Offering is expected to close on or about August 14. A.G.P./Alliance Global Partners is acting as the lead placement agent and Laidlaw & Company is acting as co-placement agent in connection with the Offering.

On June 26, Curis announced that eleven clinical sites had opened for enrollment in the TakeAim CLL study. Curis is announcing that it has consented the first six patients in that study - and reaffirmed its guidance for the dosing of five CLL patients by the end of July, with initial CLL data expected in December.

Curis Initiates 11 Clinical Sites for CLL Study
Curis announced that eleven clinical sites have been initiated and are now open for patient enrollment in its Phase 2 TakeAim CLL study evaluating emavusertib in combination with zanubrutinib in patients with Chronic Lymphocytic Leukemia. The company also reaffirmed its guidance for the dosing of the initial five patients in the TakeAim CLL study by the end of July, with data expected in December 2026. In addition, the company reported that its stockholders approved a reverse stock split proposal at the special meeting of stockholders held on June 25. Stockholders approved a proposal to effect a reverse stock split of its issued and outstanding shares of common stock at a ratio ranging from 1-for-5 to 1-for-25, in furtherance of the company's regaining compliance with Nasdaq's $1.00 bid price rule, said Curis, which adds that the company intends to announce the specific ratio and effective date in advance of the reverse stock split becoming effective.
