Strive Completes Acquisition of Semler Scientific
Strive (ASST) announced the completion of the previously announced acquisition of Semler Scientific (SMLR). Strive now holds approximately 12,797.9 bitcoin, becoming the #11 largest public corporate holder of bitcoin globally. Strive also announces the appointment of Avik Roy as Chief Strategy Officer of Strive. Mr. Roy's initial focus will be on Strive's intentions to monetize the operating business from the Semler Scientific subsidiary by expanding its mandate in early disease detection products. Mr. Roy was previously an independent board member of Strive and will step down from that position to join the company in a full-time capacity and serve as a board observer for the company. Eric Semler, former chairman and Executive Chairman of Semler Scientific, has joined as an independent board member of Strive. Joe Burnett, previously director of Bitcoin Strategy for Semler Scientific, has joined Strive as VP of Bitcoin Strategy.

ProCap BTC names Renae Cormier as Chief Financial Officer
ProCap BTC announced the appointment of Renae Cormier as CFO. Cormier will lead ProCap BTC's finance and accounting functions. Her appointment is effective December 1, 2025. Prior to joining ProCap BTC, she was the CFO at Semler Scientific (SMLR). Cormier will join ProCap BTC's executive team alongside Anthony Pompliano, CEO, Megan Pacchia, COO, Jeff Park, CIO, and Kyle Wood, Chief Legal and Compliance Officer, further strengthening ProCap BTC's leadership bench ahead of its proposed business combination with Columbus Circle Capital Corp I (BRR).
Strive and Semler Scientific Reveal All-Stock Merger Involving Bitcoin Treasury
Strive (ASST) announced that it has entered into a definitive agreement to acquire Semler Scientific (SMLR) in an all-stock transaction. In addition, Strive announced the purchase of 5,816 Bitcoin to its corporate treasury at an average price of $116,047 per Bitcoin, for a total purchase price of $675,000,000, inclusive of fees and expenses, bringing Strive's total Bitcoin holdings to 5,886. The deal represents an approximately 210% premium, equivalent to approximately $90.52 per share, based on the trading price of Semler Scientific common stock and Strive Class A common stock as of the market close on September 19, 2025. Each common share of Semler Scientific will be exchanged for 21.05 Class A common shares of Strive. The combined company would own over 10,900 Bitcoin prior to any additional Bitcoin raised from future financings, in addition to sufficient cash held in reserve to support future perpetual preferred offerings. Strive management and Board of Directors will remain post-closing with Semler Scientific Executive Chairman Eric Semler expected to join the Board of Directors of the combined company. The transaction has been unanimously approved by the boards of directors of Strive and Semler Scientific. Closing of the transaction is subject to the satisfaction of customary closing conditions.
Semler Scientific reports Q2 EPS $5.04 vs. $0.0 last year
