Stryker completes acquisition of Inari Medical
Stryker (SYK) announced that it has completed the acquisition of Inari Medical (NARI), a company that provides innovative solutions for venous thromboembolism, or VTE, clot removal without the use of thrombolytic drugs. The addition of Inari brings an established peripheral vascular position to Stryker in the fast-growing VTE segment. Inari's product portfolio is highly complementary to Stryker's Neurovascular business and includes two novel mechanical thrombectomy solutions-the FlowTriever System for the treatment of pulmonary embolism and the ClotTriever System for thrombectomy in the peripheral vessels-as well as emerging therapies.

Stryker commences $80 per share cash offer for Inari Medical
Stryker (SYK) announced that it is commencing, through a wholly owned subsidiary, Eagle 1 Merger Sub, a cash tender offer to purchase all of the issued and outstanding shares of common stock of Inari Medical (NARI) for $80.00 per share in cash. The offer is being made pursuant to the previously announced merger agreement, dated as of January 6, among Stryker, Eagle 1 Merger Sub, Inc and Inari. The tender offer is scheduled to expire at one minute past 11:59 p.m. Eastern Time, on February 18, unless extended in accordance with the terms of the merger agreement. The tender offer is subject to various conditions, including the minimum tender of at least a majority of the issued and outstanding shares of Inari common stock, the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act and other customary conditions. The transaction is anticipated to close by the end of the first quarter of 2025, as previously announced.
Stryker to acquire Inari Medical for $80 per share in cash
Stryker (SYK) announced today a definitive agreement to acquire all of the issued and outstanding shares of common stock of Inari Medical (NARI) for $80 per share in cash, representing a total fully diluted equity value of approximately $4.9B. Under the terms of the definitive agreement, Stryker will commence a tender offer for all outstanding shares of common stock of Inari for $80 per share in cash. The boards of directors of both Stryker and Inari have unanimously approved the transaction. Consummation of the tender offer is subject to a minimum tender of at least a majority of then-outstanding Inari common shares, the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act and other customary conditions. Following successful completion of the tender offer, Stryker will acquire all remaining shares not tendered in the offer through a second step merger at the same price as in the tender offer. The transaction is anticipated to close by the end of the first quarter of 2025, subject to customary closing conditions. Expected impacts to 2025 financial results will be discussed on Stryker's upcoming fourth quarter 2024 earnings call scheduled for January 28.
