Landsea Homes reports Q1 EPS (20c) vs. 1c last year
Reports Q1 revenue $310.8M, consensus $313.7M. New homes delivered increased 27.3% to 643 homes at an average sales price of $466,000, compared to 505 homes delivered at an average sales price of $579,000 in the first quarter of 2024. Net new home orders were up 11.1% to 679 homes with a dollar value of $317.8 million, an average sales price of $468,000 and a monthly absorption rate of 3.0 sales per active community.
New Home Co. to acquire Landsea Homes for $11.30 per share cash
New Home Co. and Landsea Homes (LSEA) announced they entered into a definitive agreement for New Home to acquire Landsea Homes for $11.30 per share in an all-cash transaction, representing an enterprise value of approximately $1.2B. The price is a premium of approximately 61% to Landsea's May 12 closing price. Upon completion, Landsea Homes will become a privately held company, and the combined entity will be a top-25 national homebuilder. New Home is a portfolio company of Apollo Funds (APO), which are committing $650M of new cash equity. The transaction is expected to close early in Q3 2025, subject to customary conditions, including a tender offer.
Landsea Homes closes 78 homesites in Moonlight master-planned community
Landsea Homes announced that it has closed on 78 homesites in the Moonlight master-planned community in Maricopa, Arizona. Landsea Homes will offer 78 thoughtfully designed one- and two-story homes, with floorplans ranging from 1,332 to 2,624 square feet. Sales are estimated to launch this summer. Pricing will be announced at a later date.
Landsea Homes confirms receipt of director nominees from Mill Road
Landsea Homes Corporation confirmed that its Board of Directors has received notice from Mill Road Capital III of its intention to nominate three director candidates to stand for election to the Company's Board of Directors at Landsea Home's 2025 Annual Meeting of Stockholders, as well as sharing Mill Road's perspectives on certain matters. The 2025 Annual Meeting has not yet been scheduled, and Landsea Homes stockholders are not required to take any actions at this time. The Board and its Nominating and Governance Committee will review Mill Road's proposed director nominees consistent with their normal evaluation procedures, and the Board will present its formal recommendation regarding the election of directors in the Company's proxy materials and accompanying WHITE proxy card, which will be filed with the U.S. Securities and Exchange Commission ahead of the 2025 Annual Meeting.
