Brookfield Completes Corporate Simplification, Establishes New Company
Brookfield Business Partners and Brookfield Business Corporation announced that they have received all required approvals to complete the previously announced corporate simplification to convert into one publicly traded Canadian corporation. The court-approved plan of arrangement is expected to become effective prior to markets open on March 27, 2026. On closing, all BBU limited partnership units, BBUC Class A exchangeable shares and redemption-exchange units held by Brookfield will be exchanged for newly issued Class A shares of the new Canadian corporation on a one-for-one basis. The new corporation will assume the name Brookfield Business Corporation. Following completion of the reorganization, the newly issued Class A shares of Brookfield Business Corporation are expected to commence trading on the New York Stock Exchange and the Toronto Stock Exchange under the symbol "BBUC" on March 31, 2026.

"We had a great year, generating over $2B from our capital recycling initiatives, investing $700M in four growth acquisitions and repurchasing $235M of our units and shares at a significant discount to intrinsic value," said Anuj Ranjan, CEO. "We are also nearing the completion of our corporate reorganization which should enhance global demand for our shares as we continue to progress our value creation and capital recycling plans to compound long-term growth for our investors."

Brookfield Acquires Fosber for $900M in Strategic Move
Brookfield, through its private equity strategy, has agreed to acquire Fosber, a global leader in the design and production of advanced machinery, parts, and services for the corrugated packaging industry. The transaction, a carve-out from Guangdong Dongfang Precision, values the business at approximately $900M. Founded in 1978 and headquartered in Lucca, Italy, Fosber designs and manufactures high-speed corrugating machinery and provides vital aftersales parts, maintenance and digital monitoring solutions to box manufacturers worldwide. With operations across Italy, the U.S., and China, Fosber is recognized for its innovative product and technology development, and strong customer service. Brookfield's investment through its Brookfield Capital Partners strategy is being funded with approximately $480M of equity, of which its affiliate Brookfield Business Partners is expected to invest approximately $170M. The transaction is subject to customary regulatory approvals and is expected to close in 2026.

"Our plan to convert into a single listed corporation has been well received by our investors and continuing to execute on our strategy should support continued growth in the intrinsic value of our business."
