Standard BioTools and Multiplex Bio Reach Deal Valued at Up to $10M

Standard BioTools (LAB) announced the following updates in connection with the company's previously announced merger with Treeline Biosciences. Agreement to sell its Mass Cytometry business to Multiplex Bio. Buyout of the 2026 earnout and all future royalty payments for $30M related to Illumina's (ILMN) previously completed acquisition of Standard BioTools' SomaLogic business and early termination of the waiting period by the U.S. Federal Trade Commission under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 with respect to the Treeline merger. Multiplex Bio intends to maintain the full continuity of the business including all customer relationships. The transaction is valued at up to $10M, comprising a seller's note issued by Multiplex Bio to Standard BioTools and a potential milestone payment. Standard BioTools has agreed to provide Multiplex Bio with a working capital loan of up to $10M at the closing of the transaction. The transaction is expected to close by the end of 2026, substantially concurrently with the closing of the Treeline transaction, subject to approval by Standard BioTools' stockholders and other customary closing conditions. Standard BioTools received approximately $30M as a buyout of the 2026 earnout and all accrued and unpaid royalty payments related to Illumina, Inc.'s previously completed acquisition of Standard BioTools' SomaLogic business. This payment will now be included in Standard BioTools' pro forma net cash position at closing of the Treeline transaction, which will be used in determining the value of Standard BioTools in the exchange ratio in the Treeline transaction, in each case subject to the terms of the merger agreement with Treeline. On July 20, Standard BioTools filed its registration statement on Form S-4 with the U.S. Securities and Exchange Commission. On July 21, the U.S. Federal Trade Commission provided early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. The company expects the Treeline transaction to close by the end of 2026, subject to approval by Standard BioTools stockholders and other customary closing conditions.

Illumina's Billion Cell Atlas Alliance Adds Formation Bio

Illumina announced that the Billion Cell Atlas alliance has added three new member companies, including AI-native drug developer Formation Bio. "As leaders in AI-driven drug discovery, design, and development, alliance members will use the unprecedented scale of Illumina's genome-wide perturbation data as infrastructure for the next generation of therapeutics," Illumina stated. "We are building the cell atlas to address key bottlenecks across the drug discovery and development continuum. We are creating the foundational framework to train virtual cell models and solve some of the most fundamental challenges in biology. Together, partners using this unique dataset can have a significant impact in de-risking and accelerating the journey from biological insights to approved drugs," said Rami Mehio, senior vice president and general manager of BioInsight at Illumina.

Illumina Appoints Mike Sullivan as Chief Commercial Officer

Illumina (ILMN) announced the appointment of Mike Sullivan as Chief Commercial Officer, CCO, effective July 20, 2026, and Julie Coletti as Chief Legal Officer, CLO, effective August 3, 2026. Most recently, Sullivan served as Chief Commercial Officer at Caris Life Sciences (CAI). Previously, Coletti served as Chief Legal and Regulatory Officer at Align Technology.
