Lone Star Completes $3.8B Acquisition of Hillenbrand
Hillenbrand and Lone Star Funds announced that an affiliate of Lone Star has completed the previously announced acquisition of Hillenbrand in an all-cash transaction with a total enterprise value of approximately $3.8B. With the completion of the acquisition, Hillenbrand's common stock has ceased trading and will be delisted from the New York Stock Exchange. The company will continue to operate under the Hillenbrand name.

Hillenbrand Shareholders Approve Lone Star Acquisition at $32
Hillenbrand announced that its shareholders voted at the special meeting of shareholders to approve the proposed acquisition of Hillenbrand by an affiliate of Lone Star Funds. Subject to the satisfaction or waiver of the remaining conditions to closing, the transaction is expected to close by the end of the first quarter of calendar year 2026. Under the terms of the definitive agreement with Lone Star, upon completion of the transaction, Hillenbrand shareholders will be entitled to receive $32.00 in cash, without interest and subject to any applicable withholding taxes, for each share of Hillenbrand common stock they owned immediately before the completion of the transaction.
Hillenbrand announces Q4 adjusted EPS of 83 cents, surpassing consensus estimate of 61 cents.
Reports Q4 revenue $652M, consensus $594.07M. "Our teams delivered strong results in the fourth quarter, underpinned by focused execution of our strategic initiatives amid the evolving macroeconomic backdrop," said CEO Kim Ryan. "Over the past several years, Hillenbrand has transformed into a pure-play global industrial company, strategically invested in the business, and carefully managed costs. The transformation, along with these other actions, helped position us for long-term success and led to external interest in Hillenbrand. We are excited about the pending acquisition by Lone Star and remain focused on serving our customers through the transition period."
Lone Star to Purchase Hillenbrand for $32.00 per Share, Valuing the Deal at Approximately $3.8 Billion
Hillenbrand announced that it has entered into a definitive agreement to be acquired by an affiliate of Lone Star Funds in an all-cash transaction valued at $32.00 per share, equating to an enterprise value of approximately $3.8B. The purchase price represents a premium of approximately 37% over Hillenbrand's unaffected closing share price1 on August 12, 2025, and a premium of 53% over the volume weighted average price of Hillenbrand common stock for the 90 days ending August 12, 2025. The Hillenbrand Board of Directors unanimously approved the transaction. This agreement comes following the Hillenbrand Board of Directors' review of several strategic alternatives for the company. The transaction is expected to close by the end of the first quarter of calendar year 2026 and is subject to customary closing conditions, including approval by Hillenbrand shareholders and receipt of required regulatory approvals. Upon completion of the transaction, Hillenbrand will become a privately held company, and Hillenbrand's shares will no longer trade on the New York Stock Exchange. As a result of this announcement, for its fourth quarter and fiscal year 2025 earnings announcement scheduled for November 19, 2025, Hillenbrand will issue a press release but will not hold a conference call and webcast. In addition, Hillenbrand will not issue financial guidance for fiscal year 2026.
