Gates Industrial Shareholders Vote to Redomicile to Bermuda
Gates Industrial's shareholders have overwhelmingly voted in favor of the company's proposals in connection with the company's intention to change its place of incorporation from England and Wales to Bermuda. The percentage of votes in favor of each proposal voted on at the meetings was approximately 99.6% of votes cast. The company will now proceed with the relevant legal and regulatory procedures required to implement the redomiciliation, including seeking the approval of the UK court, and expects the effective date to be July 20. The effective date remains subject to change and will depend on, among other things, the date on which all the conditions are satisfied or, if capable of waiver, waived.

Gates Industrial Acquires Timken Belts Business
Gates Industrial (GTES) has entered into a definitive agreement to acquire the belts business from Timken (TKR) including select manufacturing assets. Terms were not disclosed. Timken's belts business is a North American-based belts manufacturer serving industrial and mobility markets and applications. Both companies serve the OEM and aftermarket channels. This transaction is expected to close in Q3, subject to customary closing conditions. Gates and the belts business of Timken will continue to operate as separate entities until the transaction closes.
