Galmed's Subsidiary Colospan Completes Feasibility Study for New Colon Tissue Assessment Platform
Colospan, a wholly owned subsidiary of Galmed Pharmaceuticals, announced the successful completion of a feasibility study supporting the development of a novel intraoperative colon tissue quality assessment platform. The technology represents Colospan's second platform, expanding the innovation pipeline beyond its lead product, CG-100, and reinforcing Galmed's strategy of building a diversified portfolio of technologies addressing significant unmet needs in colorectal surgery. The feasibility study enrolled 32 colorectal cancer patients undergoing elective colorectal surgery at three leading Israeli medical centers. The study successfully demonstrated that quantitative measurement of colon tissue compliance is technically feasible using a novel ex-vivo methodology. Successful measurements obtained in all 32 patients with no measurement failures or procedure-related technical issues. These results establish the clinical foundation for continued development of an intraoperative device intended to objectively evaluate colon tissue quality during surgery. The new platform is being developed to provide surgeons with objective, quantitative measurements of colon tissue quality during colorectal surgery.

Galmed Advances Aramchol for Parkinson's Disease Treatment
Galmed announced continued advancement of Aramchol as a potential disease-modifying therapy for Parkinson's disease, or PD, reporting significant progress in development of new Aramchol orally dispersible film - ODF - formulation. The data demonstrate ~150% higher systemic bioavailability and ~300% significant increase in CNS exposure than conventional oral administration. In addition to enhancing CNS drug delivery, Aramchol's proprietary ODF formulation directly addresses one of the most common clinical challenges in Parkinson's. Up to 80% of patients develop dysphagia during disease progression, making conventional tablets and liquid formulations increasingly difficult to swallow and contributing to poor treatment adherence. Aramchol's rapidly dissolving ODF formulation dissolves within seconds without water, eliminates the need to swallow conventional tablets or liquids, thus simplifying administration and possibly improving long-term treatment adherence. Unlike currently approved therapies that primarily improve motor symptoms through dopaminergic replacement, Aramchol targets SCD1-related biological mechanisms associated with disease progression. Galmed's in-vitro data demonstrated that Aramchol dose-dependently down-regulated alphaSyn aggregation as well as indicating that the effect was not associated with toxicity. Galmed's ODF formulation of Aramchol represents a dual innovation: a mechanism-based approach to slowing disease progression combined with drug delivery that addresses dysphagia affecting Parkinson's patients.
Galmed and Barcode Nanotech Develop New Aramchol-based LNP for Cardiac Delivery
Galmed announced the breakthrough development of a new Aramchol-based lipid nanoparticles formulation, or LNP, for targeted delivery to the heart. The development work, a collaboration between Galmed and Barcode Nanotech, applies advanced formulation science, in vivo screening, and AI-enabled analysis which aims to identify optimal vehicles for precise cardiac delivery. The platform enables in vivo screening of hundreds of nanoparticle candidates to support the identification of formulations with potentially improved targeting, biodistribution, and functional performance. By adapting this platform to cardiac applications, the companies aim to develop cardiac-targeted therapies delivered through LNPs that can selectively engage relevant cell populations, including fibroblasts and other disease-driving cardiac cells.
Galmed Completes Acquisition of Colospan
Galmed announces that following a restructuring of the acquisition terms, it consummated the acquisition of Colospan a commercial-stage medical device company that has developed a clinically differentiated solution to one of colorectal surgery's most pressing problems: anastomotic leak complications and the diverting stomas used to manage them. Restructured Anti-Dilutive Financial Terms: To diminish the dilutive event on GLMD's existing shareholders, Galmed and Colospan agreed that in lieu of issuing $2.0 million in Galmed ordinary shares at closing, the cash payment shall be increased by $800K. The remaining balance has been structured as a transparent, risk-mitigated earnout capped at $2.0 million, commencing in Q3 2027. This single-digit percentage earnout on net sales revenues is tied to clear performance tiers: a 7% payout on net sales revenue over $5.0 million, escalating to 9% for net sales revenue over $12.0 million. In addition, the parties agreed to an acceleration of the earnout upon the earlier of a strategic transaction involving substantially all of the acquired business or related intellectual property of Colospan, or Galmed raising at least $17.5 million in aggregate gross proceeds through equity financings. Galmed is laying the groundwork for a pan-European launch of CG-100, a less invasive intraluminal bypass device designed to protect colorectal anastomoses and reduce the need for diverting stomas. CG-100 benefits from strong safety and efficacy clinical data based on 4 clinical trials conducted in Europe between 2014 and 2024. In addition to generating top-line revenue already in 2026, "real-life" data from patients using CG-100 is planned to be submitted to the FDA to support Colospan' s Pivotal study. Strategic Synergy: Establishing a unified GI platform by leveraging drug development expertise with medical device commercialization.
