Strong Earnings in Tech Push S&P 500 to Record Highs
Strong earnings out of the Tech sector and receding Middle East tension remained the overarching theme in Wednesday's trading, with Basic Materials, Industrials, and Technology sectors helping the S&P 500 to fresh record highs, while Energy was a significant laggard. Oil prices falling sharply below $90 reduced the geopolitical premium as Exxon Mobiland Chevronboth fell about 4%. Treasuries were also bid as yields on 10-year slipped 6bps to 4.36% and 30-year slipped 4bps to 4.94%, with fixed income remaining the direct beneficiary of U.S.-Iran de-escalation via reduced inflation expectations. In the opening hours of the evening session, S&P e-minis and Nasdaq 100 contracts are down about 0.2% each and WTI Crude is back above $95 per barrel. Afterhours earnings session saw a mixed bag of reports from Consumer Cyclical space - DoorDashwas up double-digits on surprisingly strong results as Total Orders increased 27% y/y in Q1 while Whirlpoolwas down sharply. Reports Q2 revenue $446.9M, consensus $396.9M. CEO Lachie Given stated, "The second quarter was another exceptional period for EZCORP, delivering record revenue, record PLO, and a 76% increase in adjusted EBITDA. This growth was driven by disciplined execution across all segments, sustained customer demand for immediate cash solutions and high-quality, affordable secondhand goods, together with favorable gold prices and the contribution from SMG. We expanded our footprint by 123 stores during the quarter, including the SMG and El Bufalo acquisitions completed in early January, and ended the period with 1,506 stores across 16 countries. We are focused on driving operational improvements across SMG while capitalizing on the advantages of our scaled global platform and the significant runway ahead in existing and new pawn markets. In April, we acquired 32 stores in Guatemala strengthening our market leading position there. Backed by a highly liquid balance sheet, we remain disciplined in capital allocation and active in pursuing attractive organic and inorganic growth opportunities. I thank our team members across every geography for their dedication to exceptional customer service. Guided by our core values of People, Pawn and Passion, we continue our focus on strengthening our core and scaling our operations, while delivering sustainable, long-term value for our shareholders."

EZCORP Acquires Controlling Interest in Founders One
EZCORP announced the acquisition of a controlling interest in Founders One. Founders, through its subsidiary, Simple Management Group, led by CEO John Thedford, operates 105 pawn stores in the U.S. and 11 additional countries. The stores, which operate predominantly under the names "La Familia Pawn and Jewelry" and "CashWiz," offer traditional pawn loans, buy/sell transactions, and, in Puerto Rico, auto pawn and auto title loans. EZCORP has maintained a preferred equity investment in Founders since October 2021. At closing of the transaction on January 2, 2026, EZCORP converted its existing $45 million of preferred equity and $10 million of notes receivable to common equity in Founders and contributed an additional $9.4 million in cash, increasing its ownership in Founders and enabling Founders' purchase of additional shares in SMG. Also associated with the transaction, EZCORP entered into a three-year, senior secured debt facility to provide SMG $156.4 million in funding at 13% per annum, replacing SMG's third-party debt facility and debt owed to its shareholders and EZCORP. EZCORP funded the transactions out of its cash resources and now owns a majority 87.7% interest in Founders, which controls SMG with an 85.1% ownership interest. Accordingly, EZCORP will consolidate SMG's financial results going forward, which will meaningfully contribute to the Company's earnings. Based on unaudited results for the nine months ended September 30, 2025, Founders generated revenue of $127 million and gross profit of $66 million. For the full year ended fiscal 2024 (unaudited), Founders generated revenue of $147 million and gross profit of $79 million, reflecting growth of approximately 34% and 29%, respectively, compared to fiscal 2023. Following this transaction, EZCORP now operates a total of 1,488 pawn stores across 16 countries.
