Chanson International announces 80-for-1 share consolidation
Chanson International announced that the Company's board of directors approved on August 1, 2025 that the authorised, issued, and outstanding shares of the Company be consolidated on a 80 for 1 ratio with the marketplace effective date of August 18, 2025. The objective of the share consolidation is to enable the Company to regain compliance with Nasdaq Marketplace Rule 5550(a)(2) and maintain its listing on Nasdaq.
Chanson realizes growth in livestreaming, same-city delivery strategy
Chanson International announced that its "baking + same-city delivery" and "livestream + interaction" strategy has realized significant growth in online sales. This initiative marks a promising start in Chanson's expansion in online markets. Gang Li, Chairman of the Board and CEO of Chanson, commented, "Freshness and convenience are at the heart of what baking consumers value most. Our livestream strategy brings the aroma and activity of our kitchens online, creating a multisensory, interactive shopping experience supported by real-time local delivery. We plan to continue refining our livestream schedules to match peak hours, and to launch special themed events, such as low-sugar cake features on Mother's Day or cartoon bread promotions on Children's Day."
Chanson International opens two new stores in Xinjiang's tourist destinations
Chanson International Holding announced the opening of two new stores in Xinjiang's tourist destinations: the International Grand Bazaar in Urumqi and the historic Old City of Kashgar. These new openings mark a significant milestone in Chanson's ongoing strategy to "integrate culinary excellence with cultural tourism, deepening the brand's presence in tourist destinations in Xingjiang," the company said.
Chanson International prices 16M units at 50c in public offering
Chanson International has priced a best-efforts public offering with gross proceeds to the Company expected to be approximately $8M, before deducting placement agent fees and other estimated expenses payable by the Company, excluding the exercise of any warrant offered. The offering is comprised of 16,000,000 units, consisting of one Class A ordinary share of the Company, par value $0.001 per share, or in lieu thereof, a pre-funded warrant, one series A warrant to purchase one Class A Ordinary Share and one series B warrant to purchase one Class A Ordinary Share. The public offering price of the Units is $0.50 per Unit. Each of the Series A Warrants and the Series B Warrants will have an exercise price of $0.525 per Class A Ordinary Share and be exercisable beginning on the date of the issuance date and ending on the two and half anniversary of the issuance date. The offering is expected to close on or about June 16, 2025, subject to satisfaction of customary closing conditions. The Company intends to use the net proceeds from this offering to open new stores in China and in the U.S., and the specific allocation of net proceeds to each market will be based on market conditions. Univest Securities is acting as sole placement agent for the offering.
