Vinci Compass Completes Acquisition of Navi's Real Estate Platform
Vinci Compass Investments announced that it has completed the previously announced acquisition of Navi's Real Estate platform. As a result of the closing, Vinci Compass adds approximately R$800M in assets under management, or AUM, across multi-strategy and residential strategies, primarily concentrated in perpetual and long-term lock-up vehicles, including four REITs listed on the Brazilian stock exchange and/or the CETIP.
Vinci Compass to Merge Argentine Asset Management Operations with BACS
Vinci Compass signed of an agreement to combine its Argentine asset management operations with BACS Administradora de Activos, or BACS Asset Management, a local mutual fund manager and capital markets platform in Argentina established in 2012 with a focus on corporate and retail clients, managing a product suite across money market and non-money market funds. BACS Asset Management benefits from integration with BACS Banco de Credito and Banco Hipotecario, one of Argentina's best-capitalized banks. The transaction creates a scaled platform with approximately $1.6B in AuM. The combination approximately doubles Vinci Compass' asset management business in Argentina. With the combination, Vinci Compass will gain access to BACS' and Banco Hipotecario's corporate and retail distribution network. The transaction has been implemented solely through a corporate reorganization at Vinci Compass' Argentine entity level, without any cash component, pursuant to which Vinci Compass will retain the management of the combined asset management platform, while BACS Asset Management shareholders will maintain a minority ownership interest. The combined entity will operate under Vinci Compass' investment governance, risk management and compliance framework. The transaction is expected to be immediately accretive to Vinci Compass' local Argentine business earnings profile and is expected to close in Q2.
Vinci Compass Reports Q4 Revenue of R$246.99M
Reports Q4 revenue R$246.99M vs. R$218.45M last year. CEO Alessandro Horta stated: "2025 was a pivotal chapter in our history, as our first full year operating as a pan-regional platform following our combination with Compass, and more recently, announcing the acquisition of Verde. The fourth quarter is a testimony to our strength as we continue to grow organically, with highlights to Credit and Global IP&S. We firmly believe that the strength, scalability and diversification of Vinci Compass positions us to continue displaying healthy growth in 2026, deepen our leadership across Latin America, and continue delivering long-term value for our shareholders."

Vinci Compass Investments set to purchase Verde Asset Management
Vinci Compass Investments announced an agreement to acquire Verde Asset Management, one of Brazil's leading multi-strategy asset managers with a widely recognized brand and outstanding long-term track record. Verde's team has been working together for more than 25 years, tracing its origins to 1997, with the launch of the Verde fund. Verde manages R$16B in AUM across Brazilian and Global multi-strategy funds and Pension Plans. The Transaction was structured in two phases and follows a "Price-to-Fee Related Revenues" valuation framework. In the first phase, Vinci Compass will acquire 50.1% of Verde, with total estimated consideration composed by 3.1 million new Class A common shares and R$46.8 million in cash. Payment will be set in two instalments, first at Closing, fixed at 2.2 million new Class A common shares and R$32.4 million in cash, and the second after two years, estimated at 0.9 million new Class A common shares and R$14.4 million in cash, contingent on revenue targets and other customary conditions. The second phase was structured as an earnout, to be paid after five years of Closing, in each Vinci Compass will acquire the remaining 49.9% of Verde, with a consideration payable in new Class A common shares and/or cash at Vinci Compass' discretion, and a value estimated at R$127.4 million. The Transaction was designed for a long-term transition, as Verde executives and senior management will continue in their current roles and remain fully committed to managing Verde's funds and overall portfolio, preserving an independent investment and risk-management governance structure, while aligning interests via performance-linked revenue sharing agreements. Luis Stuhlberger will continue to serve as Verde's CEO and CIO, preserving the team's day-to-day autonomy while benefiting from Vinci Compass' broader platform. Verde's main executives will join Vinci Compass as partners and shares received as part of the Transaction will be subject to lockups with partial releases over a period of five years. We expect the Transaction to be immediately accretive on a double-digit basis to FRE per share and low-to-mid single-digit accretive to Distributable Earnings per share.The Transaction is expected to close in the fourth quarter of 2025, subject to regulatory approvals and other customary closing conditions.
