Nano Nuclear Energy Signs Engineering Services Agreement with IMPSA
Nano Nuclear Energy announced that it has entered into an Engineering Services Master Agreement, or ESMA, with the U.S. subsidiary of IMPSA, one of Argentina's engineering and heavy-manufacturing companies, to support the engineering, design-for-manufacture and potential future fabrication of critical components for Nano Nuclear's Kronos MMR Energy System. The three-year agreement establishes a framework for Nano Nuclear to utilize IMPSA's extensive experience in nuclear pressure vessels, ASME Section III manufacturing, welding, non-destructive examination, quality assurance and heavy-component fabrication as the Kronos MMR design progresses toward manufacturing readiness. The reactor pressure vessel is specifically identified as a principal reactor-component under evaluation by IMPSA. The parties have separately identified reactor cavity cooling systems, spent-fuel storage systems and additional reactor and transportation components as additional areas of potential collaboration.
Nano Nuclear Advances KRONOS MMR Project Review
Nano Nuclear Energy announced continued progress in the U.S. Nuclear Regulatory Commission's review of the Construction Permit Application for deployment of Nano Nuclear's KRONOS MMR Energy System at the University of Illinois Urbana-Champaign. Following the submission of the application by the university on March 31, formal acceptance of the application for review by the Nuclear Regulatory Commission on May 18, and the initiation of formal review activities on June 23, the university and Nano Nuclear have since been engaging with the Nuclear Regulatory Commission as part of its detailed audit and technical review process for several months. The current audit activities are expected to continue over the near-term, with the university and Nano Nuclear seeing opportunity for completion of this phase in the coming months. The Nuclear Regulatory Commission's current public project schedule targets completion of a draft Environmental Assessment and draft Safety Evaluation in February 2027 with a final Environmental Assessment in May 2027, followed by issuance of the final Safety Evaluation in September 2027. These milestones remain consistent with Nano Nuclear's previously disclosed expectation for initial construction activities for the KRONOS MMR project at the university to commence during the second half of 2027.
NANO Nuclear Energy Acquires Radnostix Nuclear Fuel Assets for $9.5M
NANO Nuclear Energy announced that NANO Nuclear and its wholly owned subsidiary, HALEU Energy Fuel, have entered into a definitive asset purchase agreement with Radnostix and its subsidiary International Isotopes Fluorine Products to acquire strategic U.S. nuclear fuel processing assets, including a U.S. Nuclear Regulatory Commission license and related intellectual property and technical materials associated with a previously planned depleted uranium hexafluoride deconversion and fluorine extraction facility in Lea County, New Mexico. Under the asset purchase agreement, the consideration being paid for the assets at closing is $9.5M in cash and $4M in NANO common stock, payable and issuable at closing in accordance with the agreement.
NANO Nuclear Energy and IP3 Sign Letter of Intent
NANO Nuclear Energy, IP3 Corporation, and Cybernetic Intelligence announced the signing a Letter of Intent, LOI, setting out a framework to jointly pursue nuclear-powered artificial intelligence, national security and computing and other infrastructure opportunities in the United States and select international markets.
Nano Nuclear Energy Signs MOU with Enveniam
Nano Nuclear Energy announced that it has signed a non-binding memorandum of understanding, or MOU, with Enveniam, a project integrator and provider of engineering, technology and project-delivery solutions, to explore a collaboration addressing nuclear fuel cycle infrastructure, microreactor commercialization, advanced manufacturing and end-user energy solutions. The MOU establishes a framework through which the companies will explore utilizing Enveniam's experience in nuclear engineering, project integration, safety analysis, licensing support, project controls, operational readiness and complex energy infrastructure to advance Nano Nuclear's developing reactor, nuclear fuel fabrication and transportation capabilities. Any specific services, funding, projects or commercial commitments between the parties would be subject to separate definitive agreements.
