MarketAxess Enters Merger Agreement with ICE
According to a regulatory filing, on July 29, 2026, MarketAxess Holdings (MKTX) entered into an Agreement and Plan of Merger, by and among the Company, Intercontinental Exchange (ICE), and Igloo Merger Sub II, Inc., a Delaware corporation and a wholly owned subsidiary of Parent, pursuant to which, upon the terms and subject to the conditions set forth therein, Merger Sub will merge with and into the Company, with the Company surviving the Merger as a wholly owned subsidiary of Parent. On September 4, 2026, the Company filed with the U.S. Securities and Exchange Commission its preliminary proxy statement on Schedule 14A relating to the special meeting of MarketAxess stockholders to be held on October 29, 2026, to, among other things, vote on a proposal to approve the Merger and the other Transactions. The Company subsequently filed, on September 18, 2026, a definitive proxy statement, which the Company first mailed to its stockholders on or about September 18, 2026. Between October 6, 2026 and October 15, 2026, 3 complaints were filed by purported stockholders of the Company: (i) Eric Johnson v. MarketAxess Holdings Inc. et al., No. 655570/2026 (N.Y. Sup. Ct.); (ii) Richard Lawrence v. MarketAxess Holdings Inc. et al., No. 655741/2026 (N.Y. Sup. Ct.); and (iii) Derek Robertson v. Nancy Altobello et al., Index No. E2026024651 (N.Y. Sup. Ct., Monroe Cnty.) (collectively, the "State Court Complaints"). The State Court Complaints allege that the Definitive Proxy Statement contains materially incomplete and/or misleading information, and they seek preliminary and permanent injunctive relief restraining the Company from completing the Transactions until additional disclosure is made. The complaint in the Robertson action also asserts claims for breach of fiduciary duty against the Company's directors and a claim for aiding and abetting against Parent. As of October 23, 2026, the Company had also received 15 stockholder demand letters, which similarly allege that the Preliminary Proxy Statement or the Definitive Proxy Statement contains materially incomplete and/or misleading information and demand the disclosure of additional information. The Company and the other defendants deny the allegations in the State Court Complaints and the Stockholder Demands and deny any alleged violation of law or legal or equitable duty. "The Company and the other defendants believe that the State Court Complaints and the Stockholder Demands are without merit and that no further disclosure is required under applicable law," said MarketAxess. "Nonetheless, to avoid the risk of the State Court Complaints or the Stockholder Demands delaying or otherwise adversely affecting the Transactions and to minimize the costs, risks and uncertainties inherent in litigation, and without admitting any liability or wrongdoing, the Company has determined to voluntarily amend and supplement the Definitive Proxy Statement with the supplemental disclosures set forth in this Current Report on Form 8-K (the "Supplemental Disclosures") for the purpose of mooting any alleged disclosure issues."
