Diversified Energy in Talks to Acquire Birch Resources for Over $1.7B
Diversified Energy is in advanced talks to acquire Birch Resources, which operates in the Permian Basin, for more than $1.7B in cash, people familiar with the matter told Bloomberg's David Carnevali. Diversified is poised to emerge as the winner in a competitive sale process and a deal for Birch could be announced in the coming weeks, said the sources.
S&P 500 Futures Rally 100 Points, Tech Sector Leads
S&P 500 futures staged a rip-roaring 100 point rally in the final hour of Monday's trading above 6,815 following CBS News headlines relating that President Trump deems the Iran war to be largely over, with Tech - particularly Semis and Hardware - ending the day as the best sector in the index. Speaking to reporters this evening however, Trump has seemingly walked back the rhetoric interpreted as de-escalation with remarks that while he expects the war to be over soon, this will not happen this week. In the opening hour of the evening session, the S&P 500 contract is down 0.3%, back below 6,800 mark, with Nasdaq 100 futures also falling back by 0.3% below the 25,000 level.The headline-roulette volatility was similarly apparent in the energy market, as WTI Crude Oil futures had fallen all the way down to $81 per barrel on the initial reports of Trump comments on Iran. Diversified Energy Company Launches 7.5M Share Public Offering
Diversified Energy Company announced the launch of an underwritten public offering by certain funds or entities managed by an affiliate of EIG of 7.5M shares of Diversified's common stock, which represents all remaining holdings of the selling stockholder. Diversified has indicated an interest to purchase from the underwriter up to 3.9M shares of common stock at a price per share equal to the price per share paid by the underwriter to the selling stockholder in the secondary offering. Diversified is not offering any shares of common stock in the secondary offering and will not receive any proceeds from the sale of shares of common stock in the secondary offering. Citigroup is acting as the sole bookrunning manager for the proposed offering.
Diversified Energy Acquires East Texas Natural Gas Assets for $245M
Diversified Energy announced the execution of a purchase and sale agreement for the acquisition of high-working interest, natural gas properties and related facilities located in east Texas from Sheridan Production. The acquisition is expected to be funded through existing liquidity from Diversified's senior secured bank facility. The company expects to close the acquisition in the second quarter of 2026, subject to customary closing conditions. The purchase price is $245M in cash before anticipated, customary purchase price adjustments. Commenting on the Acquisition, CEO Rusty Hutson, Jr. said: "The target assets are a perfect fit with our existing East Texas operations and offer meaningful opportunities for material synergies upon completion of the Acquisition. The accretive transaction adds scale to our East Texas regional footprint and remains consistent with our strategy to focus on acquiring high-quality, low-decline producing assets at attractive valuations. These assets will benefit from our Smarter Asset Management approach to improve production, enhance margins, and grow free cash flow. Additionally, we anticipate that incremental cash flow can be generated from our Portfolio Optimization Programs. Our Company has a proven, demonstrated track record of delivering value to shareholders from our strategy of acquiring, operating, and optimizing established cash-generating energy assets."
