Compass Diversified Q2 Revenue at $424.04M, Below Consensus
Reports Q2 revenue $424.04M, consensus $425.35M. "In the second quarter, our subsidiaries delivered strong operating performance and cash flow," said Elias Sabo, Chief Executive Officer of Compass Diversified. "We took concrete actions to strengthen our balance sheet, including selling Sterno's Food Service Business at an attractive valuation and applying more than $280 million of proceeds to debt reduction. We also amended our Management Services Agreement to lower expected fees and increase alignment with shareholders by tying more of the Manager's compensation to shareholder returns and operating performance."
Compass Diversified Amends Management Agreement, Cuts Fee to 1.25%
Compass Diversified announced that it has entered into a Ninth Amended and Restated Management Services Agreement with Compass Group Management the company's external manager. The Amended MSA becomes effective upon execution, with the revised fee and incentive-award provisions taking effect on January 1, 2027. The Amended MSA follows a Board-led review that considered investor perspectives, market practices and pre-existing contractual requirements. In addition to reducing management fees, it is designed to further strengthen alignment with shareholder outcomes. The Amended MSA reduces the base management fee rate from 2.00% to 1.25% of Adjusted Net Assets at the company's current ANA levels and caps 2027 base management fees at $30M. It also replaces the existing incentive fee with a Share Alignment Award designed to build CODI share ownership by senior Manager personnel and a Performance-Based Award earned through shareholder-return and operating-performance results. Based on current estimates, total 2027 management fees are expected to decline by approximately $19M to $22M compared to what the existing formula would have produced, depending on the company's ANA for 2027 and the level of payout under the Performance-Based Award.

Collectively, CODI's subsidiaries continue to perform well, and the company is reaffirming its previously issued full-year 2026 outlook.
Compass Diversified Enters Settlement Agreement with Lugano
Compass Diversified announced that it has entered into a settlement agreement and mutual release and a related plan support agreement in connection with the Chapter 11 proceedings of Lugano Diamonds & Jewelry Inc. and its affiliated debtors. The settlement, reached with Lugano and its official committee of unsecured creditors and other parties in interest, will be incorporated into Lugano's proposed plan of liquidation and establishes the framework for CODI's recovery from the Lugano estate. Under the settlement, CODI has agreed to support Lugano's proposed plan of liquidation, which incorporates the settlement terms. The settlement is designed to accelerate the resolution of Lugano's bankruptcy, facilitate an orderly liquidation of Lugano's assets, allow for a timely distribution of recoveries, and provide greater certainty of recovery than continued litigation. Subject to creditor approval and bankruptcy court confirmation of the plan of liquidation, CODI will be entitled to certain recoveries from the Lugano estate. This includes proceeds from the disposition of Lugano's inventory, tax refunds, insurance, and litigation claims pursued through a liquidation trust. Additionally, in exchange for releases granted by CODI and its related parties, CODI and its related parties will receive a release of claims from the Lugano estate. The settlement will become effective only upon satisfaction of the conditions set forth in the agreements, including the effectiveness of Lugano's plan of liquidation. There can be no assurance that the plan of liquidation will be confirmed or become effective, or as to the timing thereof. The company also continues to advance its previously announced review of the management services agreement, which is intended to further align incentives with shareholder interests and drive incremental shareholder value. CODI expects to complete this review in the coming weeks.
