Associated Capital announces estimated Q3 book value per share between $44.15 and $44.35.
Associated Capital Group announced a preliminary range for its third quarter book value of $44.15 to $44.35 per share. This compares to $43.30 per share at June 30, 2025 and $42.14 per share at December 31, 2024. AC will be issuing further details on its financial results in November.
Associated Capital announces voluntary NYSE delisting, SEC deregistration
Associated Capital Group announced that it has given formal notice to the New York Stock Exchange of its intention to voluntarily delist its Class A common stock from the NYSE and to deregister under Section 12(b) of the Securities Exchange Act of 1934. Following the de-listing from the NYSE, we expect to provide liquidity to AC's Class A stock shareholders by listing AC Class A on the OTCQX platform. AC plans on filing a Form 25 with the U.S. SEC on or about August 25. The last day of trading in AC's common stock on the NYSE will be on or about September 4, when the Form 25 takes effect. Ninety days thereafter, AC's common stock deregistration is expected to become effective. When AC files Form 15 on or about September 4, its filing obligations under the Exchange Act will immediately be suspended or terminated, including the filing of all reports on Forms 8-K, 10-Q and 10-K. AC has filed an application for its common stock to be quoted on the OTCQX platform, operated by OTC Markets Group Inc. AC will continue to provide information to its stockholders and to take such actions to enable a trading market in its common stock to exist. There is no guarantee, however, that a broker will continue to make a market in the common stock and that trading of the common stock will continue on the OTCQX or otherwise or that the company will continue to provide information sufficient to enable brokers to provide quotes for its common stock.

Assets Under Management: $1.34B at June 30, 2025 compared to $1.27B at March 31, 2025; Book Value per share ended the quarter at $43.30 per share vs $42.51 at March 31, 2025. The company said, "Global M&A activity resumed its positive momentum in the second quarter after a brief air pocket for new deal activity in April when the Trump Administration surprised the market with tariffs that were substantially higher than the market had been expecting. Following a pause on the implementation of tariffs, and the negotiation of country-specific trade deals, the market regained a sense of confidence and clarity, particularly after Treasury Secretary Scott Bessent's detente with China in Switzerland. As a result, dealmaking resumed its upward trajectory and powered second quarter M&A to over $1 trillion, an increase of 3% sequentially compared to the first quarter, which brought YTD activity to about $2 trillion, an increase of 33% compared to the same time period in 2024. A more accommodative antitrust environment and pent-up demand from acquirers should be supportive of ongoing M&A activity. Furthermore, recent regulatory shifts both in the U.S. and abroad should provide a more favorable environment for merger arbitrage investing."
