WaterBridge Infrastructure Plans to Offer $100M Senior Notes
WaterBridge Infrastructure announced that WBI Operating, a subsidiary of WaterBridge, intends, subject to market conditions, to offer $100M in aggregate principal amount of 6.500% senior notes due 2033 in a private placement to eligible purchasers. The New Notes are being offered as additional notes under the indenture, dated as of October 6, pursuant to which the Issuer previously issued $600M in aggregate principal amount of 6.500% senior notes due 2033. The New Notes will have identical terms as the Existing Notes, other than the issue date and issue price, and will be treated as part of the same series as the Existing Notes for all purposes under the Indenture. WaterBridge intends to use the net proceeds from the Offering to repay a portion of outstanding borrowings under its revolving credit facility.
WaterBridge Reports Q2 Produced Water Handling of 2.6 Million Barrels/Day
Produced water handling volumes of 2.6 million barrels per day, representing an increase of 6% quarter-over-quarter. Jason Long, Chief Executive Officer of WaterBridge, stated, "Our second quarter results reflect the continued strength of our base business, with sequential growth in both volumes and revenue and operations continuing to outperform across the platform. Speedway Phase I is now online and ramping as expected, giving us strong visibility into one of our most important near-term growth drivers, while the ongoing ramp of the Kraken project further reinforces the durability of our underlying network. Just as encouraging is our ability to pair organic momentum with disciplined acquisitions, including the Ranger Water Midstream acquisition and the expansion of our environmental waste management platform through the NDB Landfill acquisition and new Stateline landfill construction, a reflection of the breadth of opportunity we continue to see across the Delaware Basin."

WaterBridge Infrastructure to Be Added to Multiple Indexes
VettaFi announced that WaterBridge Infrastructure will be added to the indexes listed below following the close of trading on Thursday, June 18. Each of the following indexes is a capped, float-adjusted, capitalization-weighted index whose constituents earn the majority of their cash flow from midstream activities involving energy commodities: Alerian MLP Infrastructure Index- a composite of energy infrastructure companies; Alerian Midstream Energy Index - a broad-based composite of North American energy infrastructure companies; Alerian US Midstream Energy Index - a broad-based composite of U.S. energy infrastructure companies; Alerian MLP Index - the leading gauge of energy infrastructure companies; Alerian Midstream Energy Select Index- a composite of North American energy infrastructure companies engaged in midstream activities; Alerian Midstream Energy Corporation Index - a broad-based composite of North American energy infrastructure corporations. WaterBridge also announced that its board of directors has formed a special committee of independent directors to evaluate a potential conversion from a Delaware limited liability company to a Texas corporation. A primary driver of this evaluation is index eligibility. Major benchmarks - including key S&P, Russell and CRSP indexes - restrict eligibility to corporations, and WaterBridge believes conversion could unlock inclusion in these widely followed indexes. WaterBridge anticipates such inclusion would broaden its eligible investor base, improve trading liquidity, and increase market visibility, each of which would enhance the Company's ability to pursue growth on favorable terms and support long-term shareholder value. The special committee will evaluate the potential benefits and risks of such a conversion, including the impact on WaterBridge's governance structure and tax treatment
