Nasdaq Futures Rebound as Tech Stocks Recover

Nasdaq futures are rebounding as technology shares recover from last week's steep selloff and investors prepare for a busy stretch of third quarter earnings. The rebound follows the Nasdaq and S&P 500 posting their biggest weekly declines since late June, as concerns about elevated borrowing costs and the debt needed to finance AI infrastructure weighed on technology stocks. Investors are looking for evidence that massive AI investments are translating into stronger revenue and profits, with Meta Platforms, Tesla, Lam Research and Texas Instruments among the companies reporting this week.Oil prices are retreating from five-month highs, with Brent crude down about 1.3% to $108.40 a barrel and West Texas Intermediate near $101.15, following the U.S. decision to ease some sanctions on Russian oil.Beyond earnings, investors are monitoring the economic calendar for signals on the health of the housing market, consumer demand and inflation expectations. Housing-market data is due this week, followed by weekly jobless claims Thursday and preliminary manufacturing and services PMI readings and the University of Michigan's consumer sentiment survey Friday. The Federal Reserve is in its blackout period ahead of its next policy meeting, limiting opportunities for fresh guidance from policymakers. In pre-market trading, S&P 500 futures rose 0.43%, Nasdaq futures rose 1.20% and Dow futures fell 0.22%.Check out this morning's top movers from around Wall Street, compiled by The Fly.HIGHER -Disc Medicineup 40% after reporting its APOLLO trial of bitopertin in erythropoietic protoporphyri met all its primary and secondary endpointsEquipmentShareup 8% after raising its FY26 revenue view citing strong customer demand and high utilization of its fleetRed Catup 7% after announcing a proposed voluntary public purchase offer to acquire all outstanding shares of Steyr Motors for EUR 39.00 per share in cashIntelup 4% after JPMorgan upgraded the stock to Neutral with an unchanged price target of $85Xanadu Quantumup 3% after receiving provisional approval for project funding worth up to $10M under DARPA's Quantum Benchmarking InitiativeUP AFTER EARNINGS -Cleveland-Cliffsup 13%GlassHouseup 2%DOWN AFTER EARNINGS -Nyxoahdown 9%Fifth Thirddown 1%LOWER -EyePointdown 81% after reporting Duravyu did not achieve the primary endpoint of statistical non-inferiority in mean change in best corrected visual acuity in its LUCIA trial

Red Cat Proposes Acquisition of Steyr Motors at €39.00 per Share

Red Cat announced a proposed voluntary public purchase offer by Red Cat to acquire all outstanding shares of Steyr Motors for EUR 39.00 per share in cash. The proposed transaction is supported by the Steyr Motors' anchor shareholder B&C Group and represents a strategic investment in Steyr Motors and Austrian production capabilities. Red Cat and Steyr Motors had previously held non-binding discussions regarding a potential transaction, which were discontinued in July. Talks were subsequently resumed and have now resulted in a fully financed all-cash offer. The anchor shareholder of Steyr Motors, B&C Holding Osterreich, supports the strategic transaction of Red Cat and has entered into an irrevocable undertaking to tender its shares into Red Cat's offer, representing approximately 15% of Steyr Motors' share capital. The proposed transaction will be structured as a voluntary public purchase offer by a wholly owned subsidiary of Red Cat for all outstanding shares of Steyr Motors. The offer price will be EUR 39.00 per Steyr Motors share in cash, subject to the terms and conditions set forth in the offer document. It represents a 55.8% premium to Steyr's 52-week low, a 28.9% premium to the closing share price on October 16 and a 27.3% premium to the 30-day volume-weighted average price. The offer document is expected to be published on a dedicated transaction website and made available in German and in a non-binding English translation. Red Cat expects the acceptance period, during which shareholders may tender their shares, to commence shortly following publication of the offer document and to end on December 18 at 5:00 p.m. CET. Shareholders should consult their custodian bank about any applicable deadlines set by the custodian bank which may require action to be taken before the formal end of the acceptance period. The process to tender shares can take several days, depending on the custodian bank. Shareholders should consider tendering their shares several days before December 18. The proposed transaction remains subject to customary conditions, including regulatory approvals in Austria, Italy, Australia and the UK, a minimum acceptance threshold of 50% plus one share and other conditions to be set forth in the offer document. There can be no assurance that the offer will be completed or that the proposed transaction will close on the anticipated timeline or at all.

Red Cat Holdings Launches Unified Brand Red Cat Aerial

Red Cat Holdings launched Red Cat Aerial, a newly unified entity that brings the company's aerial systems, teams and engineering capabilities under a single brand. Red Cat Aerial also unveiled its newest platform, TRICHON, a hand-launched, long-endurance vertical takeoff and landing tricopter built for intelligence, surveillance and reconnaissance missions. Red Cat Aerial combines the teams and technology previously represented by Teal Drones and FlightWave Aerospace into one organization with one public-facing identity. The division's portfolio includes Black Widow, FANG, Edge 130, and Hellcat, now joined by TRICHON. Uniting both businesses gives customers a single point of engagement for Red Cat's aerial systems and gives the division a shared engineering foundation to develop new platforms faster as mission requirements change.
