Morgan Stanley: Tempus AI Acquires Personalis for $16.25 per Share
Morgan Stanley notes that Tempus AI (TEM) announced a definitive agreement to acquire Personalis (PSNL) for $16.25 per share, with the deal expected to close in late 2026 or early 2027. In some respects, it's a combination that was potentially three years in the making, with Tempus AI already owning about 20% of shares, the firm says. Strategic rationale makes sense to Morgan Stanley, current financials somewhat harder to digest, it adds. The firm thinks the combination further establishes Tempus AI's competitive positioning in precision oncology with Personalis' market-leading ultrasensitive MRD assay NeXT Personal entering the portfolio. Morgan Stanley expects integration friction and saleforce disruption to be minimal given the history of collaboration and since about 80% of Personalis' clinical volumes were already being driven through Tempus AI's sales channels.
