Vaxcyte Launches $500M Public Offerings of Stock and Convertible Notes
Vaxcyte announced that it has commenced underwritten public offerings of $500M of its common stock and pre-funded warrants and $500M aggregate principal amount of convertible senior notes due 2032 in separate public offerings registered under the Securities Act of 1933, as amended. All shares of common stock, pre-funded warrants and notes to be sold in the offerings will be offered by Vaxcyte. Jefferies, Leerink Partners, BofA Securities, Evercore ISI, Goldman Sachs & Co. LLC and Guggenheim Securities are acting as joint book-running managers for the common stock and pre-funded warrant offering. Mizuho is acting as bookrunner and BTIG is acting as lead manager for the common stock and pre-funded warrant offering. Jefferies, Leerink Partners, BofA Securities, Goldman Sachs & Co. LLC and Evercore ISI are acting as joint book-running managers for the note offering. Guggenheim Securities and Mizuho are acting as bookrunners and Needham & Company is acting as lead manager for the note offering.
