Windjammer Capital Sells IPS Group to Nayax for $350M

Windjammer Capital announced it has signed a definitive agreement to sell its portfolio company, IPS Group, to Nayax for $350M cash-free and debt-free. Headquartered in San Diego, California, IPS is a provider of mission critical smart parking infrastructure, offering a fully integrated ecosystem spanning smart single- and multi-space meters, mobile app, enforcement and permitting solutions, payment solutions, and SaaS-based data analytics, to municipalities, universities, and parking operators across North America, the United Kingdom and Ireland.

Nayax Acquires IPS Group for $350M

Nayax announced a definitive agreement to acquire IPS Group from Windjammer Capital Investors in an all-cash transaction for a total consideration of $350M. IPS's technology and base of more than 250,000 parking spaces, combined with Nayax's reach across more than 120 countries, will accelerate IPS's expansion into new markets, starting with Continental Europe. The total enterprise value is $350M in an all-cash transaction, on a cash-free debt-free basis, representing approximately 17x 2026E Adjusted EBITDA, excluding anticipated synergies. The Adjusted EBITDA multiple is approximately 12x when considering run-rate synergies of more than $8M. The transaction is immediately accretive to gross margin, adjusted EBITDA margin, adjusted EPS, and free cash flow conversion. The transaction is not reflected in Nayax's current 2026 guidance. IPS's financial performance includes estimated revenue for FY 2026 of over $90M with more than 60% recurring revenue, representing approximately 20% organic revenue growth compared to FY 2025 and an Adjusted EBITDA of approximately $21M, alongside with strong free cash flow generation and around 80% conversion. The acquisition was funded with cash on hand and approximately $150M of new committed debt. IPS's executive management team is expected to continue to lead the business from San Diego, California. Closing is expected in Q4.

Nayax Reports Q2 Revenue of $122.6M, Exceeding Expectations

Reports Q2 revenue $122.6M, consensus $120.98M. "We had a strong second quarter, with continued execution across the business. Revenue grew 28% to $123 million, with organic revenue growth of 24% year to date, our installed base surpassed 1.55 million devices, and our customer base reached 125,000. Our growth algorithm continues to work, and this quarter we began building the next layer on top of it. Through Lynkwell, we are deploying DC fast chargers at more than double the pre-acquisition pace, and with Nayax Capital we are laying the foundation for embedded financial services - building our in-house issuing capability and, as recently announced, applying for a U.S. bank charter. We are accelerating these investments because every service we add reaches the 1.55 million installed base we have already built, and I have never been more excited with the opportunities ahead of us," commented Yair Nechmad, Nayax Chief Executive Officer and Chairman of the Board.
