Limbach Acquires 1901 Inc. for $63M
Limbach has acquired 1901 Inc., a Madison, Wisconsin-based union MEP contractor with a 125 year history providing design-build, construction, fabrication, service, maintenance, controls, and underground utility solutions throughout Wisconsin and the Midwest. The acquisition of 1901 increases Limbach's scale in the Midwest and establishes the company's largest electrical operation to date, while adding capabilities across mechanical, plumbing, controls, fabrication, service and underground utility solutions. The acquisition was completed for a purchase price of $63M and was funded through available cash and borrowings under the company's recently expanded revolving credit facility. The transaction also includes performance-based earn-outs of up to $6M, with the earnout amounts being payable, if earned, over the next two years from closing upon the achievement of specified performance targets. 1901 brings approximately 450 employees, including more than 350 field professionals. For 2027, Limbach currently expects 1901 to contribute approximately $140M in revenue and $11M in adjusted EBITDA for the full year.

Limbach Q2 Revenue at $173.5M, Below Expectations
Reports Q2 revenue $173.5M, consensus $177.25M. "Our second quarter results were primarily affected by project timing and price sensitivity in certain markets rather than a deterioration in underlying demand leading to results that fell below our expectations," said Michael McCann, President and Chief Executive Officer of Limbach. "Importantly, bookings remained strong at $182.0 million, producing a 1.1x book-to-bill ratio, and reinforcing our confidence that customer demand remains healthy. Based on our strong bookings and the visibility we have into the second half of the year, we believe our revised outlook appropriately reflects the current operating environment and positions us to execute successfully."
Limbach Completes Acquisition of CYMCOR for $30M
Limbach announced that it has acquired CYMCOR. The acquisition was completed for a purchase price of $30M and was funded through a combination of cash on hand and borrowings under the Company's recently expanded revolving credit facility. The Company currently expects CYMCOR to contribute approximately $12M in professional services revenue and $4M in adjusted EBITDA in 2027, not including potential revenue synergies or incremental project pull-through. Limbach's immediate focus will be on integrating operations, leveraging complementary capabilities, and expanding customer relationships through the combined platform.
