B&G Foods Q2 Revenue at $383.28M, Below Consensus
Reports Q2 revenue $383.28M, consensus $395.95M. "Our second quarter results reflect the discipline we have brought to reshaping B&G Foods' portfolio. Following the divestiture of our Green Giant U.S. frozen business and the acquisition of the College Inn and Kitchen Basics brands, we grew adjusted EBITDA and expanded our adjusted EBITDA margin in the second quarter as compared to the second quarter of last year, while reducing selling, general and administrative expenses. We also completed a $475 million offering of senior notes due 2031 to refinance senior notes due 2027, strengthening our balance sheet. Together, these results keep us on track to deliver our full year 2026 guidance," said Bruce Wacha, Executive Vice President of Finance and Chief Financial Officer of B&G Foods.
B&G Foods CEO Casey Keller Announces Retirement
B&G Foods announced that Kenneth "Casey" Keller, President and Chief Executive Officer and a member of the Board of Directors, has notified B&G Foods of his intention to retire after five years in his position. B&G Foods and Keller mutually agreed that Keller's retirement as Chief Executive Officer and as a director will be effective August 7, 2026 but that Keller will on an ongoing basis assist B&G Foods in its leadership transition. Guided by B&G Foods' ongoing succession planning process, the Board has selected B&G Foods' next Chief Executive Officer, who has accepted the offer. The successor currently serves in a senior leadership position at another public company. At the successor's request, B&G Foods has not yet disclosed his identity. B&G Foods expects to announce shortly the incoming Chief Executive Officer and additional transition details in coordination with the reporting requirements of his current employer.
Company Lowers Dividend Rate to $0.38 per Share
As announced in a separate press release the Company issued, beginning with the dividend payment declared on May 11, 2026 and payable on July 30, 2026, the current intended dividend rate for the Company's common stock has been reduced from $0.76 per share per annum to $0.38 per share per annum. Based upon the new current intended dividend rate of $0.38 per share per annum and the current number of outstanding shares, the Company expects the Company's aggregate dividend payments to be approximately $46.0 million in fiscal 2026 and $30.8 million in fiscal 2027.

Commenting on the results, Casey Keller, President and Chief Executive Officer of B&G Foods, stated, "In the first quarter, B&G Foods completed major steps in reshaping our portfolio for long-term sustainability and success, divesting the Green Giant U.S. Frozen business and acquiring the College Inn and Kitchen Basics broth and stock businesses. First quarter results were generally in line or ahead of expectations and delivered 2.8% base business net sales growth."
