Agencia Comercial Spirits Signs Data Center Construction Agreements
Agencia Comercial Spirits announced that its subsidiaries have entered into agreements covering data center construction, network infrastructure procurement and technical support and maintenance services in connection with the company's planned expansion into AI computing infrastructure in Indonesia. A subsidiary of the company has entered into a binding letter of award with an independent contractor for the general construction works of the planned data center in West Java, Indonesia. The works principally comprise the civil, structural, architectural and other non-mechanical and electrical construction components of the facility. The accepted contract amount is within the range of approximately $40M-$50M, inclusive of applicable Indonesian value-added tax, and the works are contemplated to be implemented in phases. Separately, a subsidiary of the company has entered into an equipment procurement contract with an independent supplier for the purchase of network infrastructure equipment and related components. The contract has an aggregate value of approximately $10.1M. The same subsidiary has also entered into a five-year on-site technical service and equipment maintenance agreement with an independent service provider in relation to certain computing equipment. The arrangement covers on-site technical support, routine inspections, incident response, coordination of manufacturer warranty resources and subsequent third-party equipment maintenance services. The fixed on-site personnel service fees amount to approximately US$1.0 million over the five-year service period, with additional maintenance fees for the fourth and fifth years to be determined based on the actual number of devices maintained. These agreements are intended to support different elements of the company's planned AI computing infrastructure deployment in Indonesia, including physical data center construction, network infrastructure, technical support and equipment maintenance. They form part of the company's strategic initiative to expand into AI computing infrastructure and cloud-based computing services while continuing to operate its existing whisky import and distribution business. The agreements are infrastructure construction, procurement and service arrangements and are not customer revenue contracts. They do not, by themselves, guarantee that the relevant data center facilities will be completed, that the equipment will be delivered or successfully deployed, that the contemplated computing capacity will become operational or be fully utilized, that customers will use the company's planned AI computing services, or that the company will generate revenue, profitability or positive cash flow from the projects.
Agencia Comercial Spirits Signs Power Supply Agreement with PLN in Indonesia
Agencia Comercial Spirits announced that its Indonesian subsidiary, PT. AGCC AITECH INDONESIA, has entered into additional electricity supply agreements with PT PLN, the Indonesian state-owned electricity company, in connection with the company's planned AI computing infrastructure project in Indonesia. Together with electricity supply arrangements previously entered into by AGCC Indonesia for the project, the latest agreements establish a dual-feed power supply configuration for the planned data center, with each feed rated at 55,400 kVA. The electricity supply arrangements are intended to support the company's staged development of AI computing infrastructure in Indonesia, including its approximately 40MW IT load requirement for the planned project, subject to project implementation, customer-side installation readiness, applicable certifications, PLN requirements, construction progress, equipment procurement, financing and other operational conditions. In connection with the electricity supply arrangements, AGCC Indonesia has agreed to pay an aggregate connection fee of approximately IDR 69.9 billion. The arrangements also require customer guarantee deposits, ongoing electricity charges and other customary charges associated with electricity supply arrangements of this nature. The agreements are not fixed-price contracts, and electricity charges may vary based on applicable tariffs, actual usage, minimum payment requirements, regulatory policies and other factors. The company may incur significant costs before the project generates corresponding customer revenue. The electricity supply agreements represent an infrastructure procurement milestone in the company's strategic initiative to expand into AI computing infrastructure and cloud-based computing services, while continuing to operate its existing whisky import and distribution business. The agreements are power procurement arrangements and are not customer revenue contracts. They do not, by themselves, guarantee that the project will be completed, that the power supply configuration will be fully utilised, that the approximately 40MW IT load requirement will be achieved, that customers will use the company's planned AI computing services, or that the company will generate revenue, profitability or positive cash flow from the project.

Agencia Comercial Spirits Signs AI Computing Infrastructure LOIs
Agencia Comercial Spirits announced that it has entered into two separate nonbinding letters of intent as part of the Company's evaluation of potential diversification into AI computing infrastructure and data center related opportunities, in addition to its existing whisky business. Proposed AI Server Lease Framework with Ricloud. January 15 the Company entered into a letter of intent with Ricloud AI setting out preliminary terms under which the Company is evaluating a proposed lease arrangement involving high performance AI computing servers based on the NVIDIA B300 platform. The letter of intent contemplates an estimated total contract value of $120.0M and an estimated quantity of approximately 300 units, subject to final configuration, availability and commercial confirmation. The letter of intent provides for a $3.5M deposit to be paid within five business days following execution. The letter of intent further provides that the deposit is refundable if a definitive lease agreement is not executed for reasons not attributable to a material breach by either party. The letter of intent reflects preliminary terms only and, with respect to the consummation of any definitive transaction, is generally nonbinding. The Company has also entered into a separate nonbinding letter of intent with an Indonesia based counterparty in relation to a proposed land transaction intended to support the development of an AI computing infrastructure and data center site in Indonesia. The letter of intent contemplates a land parcel of approximately 50,000 square meters. The transaction is contemplated to be undertaken by the Company or through an Indonesian affiliate to be established. The letter of intent includes an initial $180,000 booking deposit for the temporary reservation of the aforesaid land and a subsequent booking fee of IDR 3B plus VAT of 11%, each stated to be nonrefundable in case of cancellation, subject to the terms and conditions set out in the letter of intent. The Company is evaluating these initiatives as part of a broader review of strategic opportunities outside its core whisky business. Any entry into AI computing infrastructure and/or data center-related activities will be subject to further evaluation, due diligence, definitive documentation, available financing and liquidity considerations, applicable regulatory considerations, and internal corporate approvals.
