Vital Energy Shareholders Approve Merger with Crescent Energy
Vital Energy (VTLE) announced that, at a special meeting of Vital Energy stockholders, the stockholders of the company approved the previously announced merger between Vital Energy and Crescent Energy Company (CRGY). The merger is anticipated to close on December 15, 2025.
Crescent Energy Receives Shareholder Approval for Merger with Vital Energy
Crescent Energy Company (CRGY) announced it received overwhelming stockholder approval for the issuance of Crescent Class A common stock in connection with its proposed merger with Vital Energy (VTLE) at a special meeting of stockholders held today. The Merger is expected to close on December 15, 2025. "We are pleased with the strong support from our shareholders in approving this highly accretive transaction. Today's outcome reinforces investor confidence in Crescent's disciplined strategy and our consistent track record of execution. With approval secured, we are prepared to move quickly toward closing and continue creating meaningful, long-term value for our shareholders," said David Rockecharlie, Crescent's Chief Executive Officer. Based on the preliminary vote count from today's special meeting, approximately 98% of the Crescent common stock voted were in favor of the Merger, resulting in approximately 81% of the outstanding Crescent common stock voting in favor of the Merger.
Crescent Energy Acquires Vital Energy
Crescent Energy (CRGY) is acquiring Vital Energy (VTLE) in a deal expected to close soon, pending final closing conditions.
Vital Energy states that previous FY25 guidance is no longer dependable.

"We delivered on an ambitious development plan, turning-in-line 26 wells during the quarter, completing the 8-mile package of 12 horseshoe wells in mid-October and exceeding the top-end of our total production guidance. We are excited by the prospect of joining forces with Crescent to create a premier mid-cap operator and generate increased value for our shareholders."
