Uranium Royalty Completes Transaction with New URC
Uranium Royalty announced that it has completed its previously announced plan of arrangement transaction. Under the arrangement, certain affiliated entities of Orion Resource Partners LP and HRG Metals LP, a subsidiary of the Ontario Teachers' Pension Plan, contributed and sold their approximately 92% interest in certain entities holding the trona royalty assets and landholdings in Wyoming, Utah and Colorado, United States to a newly formed U.S.-domiciled parent company, named Uranium Royalty Corp., or "New URC," resulting in the combination of the company and the Sweetwater Entities under New URC. Under the terms of the arrangement, each shareholder received one share of common stock of New URC for each common share of URC held immediately prior to the effective time of the arrangement, provided that certain eligible Canadian shareholders were entitled to elect, in respect of all or a portion of their URC shares, to receive exchangeable shares of a Canadian subsidiary of New URC in lieu of New URC shares, on a one-for-one basis. Each exchangeable share is exchangeable for one New URC share, subject to customary adjustments, in accordance with the terms of the exchangeable share provisions. Scott Melbye, Chief Executive Officer, President and Director of New URC, stated: "We are thrilled to embark on this historic next step for Uranium Royalty Corp. Our extensive land ownership, encompassing one of the world's largest known trona (soda ash) resources, and including five currently operating mines positioned among the lowest on the global cost curve, is expected to provide steady cash flows to advance our uranium aspirations at a time of significant nuclear energy growth. The Company's more than 5-million-acre land position provides significant optionality, supported by growing U.S. policy initiatives to expand domestic production of critical minerals and oil and gas. URC also welcomes its two newest and largest shareholders in Orion and Ontario Teachers' Pension Plan. Their cooperative and constructive efforts to conclude this mutually beneficial transaction are greatly appreciated."
Uranium Royalty Secures Shareholder Approval for Asset Restructuring
Uranium Royalty obtained shareholder approval of its plan of arrangement dated April 16 by and between the company, certain affiliated entities of Orion Resource Partners and HRG Metals LP, a subsidiary of the Ontario Teachers' Pension Plan - together, the Sweetwater Investors -, pursuant to which the Sweetwater Investors agreed to contribute and sell their approximately 92% interest in certain entities holding trona royalty assets and landholdings in Wyoming, Utah and Colorado to Uranium Royalty Corp., a newly formed parent company incorporated in Delaware - or New URC. The arrangement agreement will result in the combination of the company and the Sweetwater Entities under New URC. Completion of the Arrangement remains subject to receipt of a final order from the Supreme Court of British Columbia approving the Arrangement and the satisfaction of certain customary closing conditions. It is currently expected that the Arrangement will close on or about July 27. Subject to the completion of the arrangement and compliance with applicable listing requirements, it is expected that the common stock of New URC will be listed and posted for trading on Nasdaq on or about July 28. The common shares of the company will be delisted from the TSX on or about July 28 and it is expected the company will cease to be a reporting issuer in all jurisdictions of Canada in which it is currently a reporting issuer, each on or about July 28. Andy Marshall will step down as CFO of the company following the Arrangement, effective July 29, to pursue other opportunities. Eason Chen will be appointed Interim CFO at such time.

Uranium Royalty Enters Merger Agreement with Sweetwater, Valued at Approximately $1.9B
Uranium Royalty has entered into an arrangement agreement to combine with entities owning a 92% interest in Sweetwater Royalties from funds managed by Orion Resource Partners and the Ontario Teachers' Pension Plan. The transaction implies a 100% enterprise value for Sweetwater of approximately $1.9B and an attributable equity value to be acquired by URC of approximately $1.1B. Under the Transaction, Sweetwater and URC will combine under a newly formed U.S. domiciled parent company, "Uranium Royalty Corp." or "New URC", which will apply to have its shares of common stock listed on NASDAQ. On completion of the transaction, the Sellers will receive approximately $330M in cash and $813M in New URC Shares at a deemed value of $3.64 per New URC Share. The transaction is expected to transform URC into the largest publicly traded U.S. non-precious metals royalty company. The combination is also expected to be significantly accretive to NAV, cash flow and EPS. Upon closing, Orion and Ontario Teachers' are expected to hold approximately 43% and 16% respectively of New URC's pro forma shares outstanding. The sellers' ownership interests in Sweetwater will have been exchanged for total cash consideration of $330M and $813M in New URC Shares, issued at a share price of $3.64. A shareholder meeting is expected to occur on or about July with closing thereafter subject to regulatory approvals. Orion and Ontario Teachers' will have pro rata Board nomination rights with rights for up to two directors joining from Orion and one from Ontario Teachers'. The resulting combined representation will be capped below 50%. Following completion of the transaction, URC will continue to be led by Scott Melbye as CEO and Amir Adnani as Chairman. Sweetwater will continue to operate under the leadership of CEO Damon Barber. It is expected that the meeting of URC shareholders to approve the transaction and closing will occur on or about Q3.
