RedCloud Sells 7.2M Shares to Insiders at $0.25 Each
RedCloud announced that it has agreed to sell 7.2M of its unregistered ordinary shares to company insiders in a private placement at a price per share of 25c, representing approximately a 24% premium to the closing price of the company's ordinary shares on August 26. Gross proceeds are expected to be approximately $1.8M. The company expects to complete the issuance on or about August 27. Christina Byland, the largest shareholder of the company, purchased 4.7M ordinary shares, and Nikolaus Senn, a shareholder and member of the company's board of directors, purchased an additional 2.5M ordinary shares.
RedCloud Signs MOUs with Dheer and Klakshya to Deploy RedAI
RedCloud announced two memoranda of understanding to deploy its RedAI infrastructure across the apparel, footwear and lifestyle distribution operations of Dheer Marketing India and Klakshya Marketing Private Limited. Together the two programs target 11 priority brands, more than 25,000 active SKUs and over 1,250 retail, wholesale, distributor and institutional buyer points across India. Under the Dheer Marketing India MOU, the initial deployment targets 5 priority brands, 10,000+ active SKUs and 500+ buyer points across a 15-location network, with definitive commercial agreements targeted by September. Under the Klakshya Marketing MOU, the initial program targets 6 priority brands, 15,000+ active SKUs, 750+ commercial endpoints and 20+ product categories and a 90-day program measuring inventory, availability, forecasting and working-capital efficiency, with definitive agreements targeted for completion in Q4 2026.
RedCloud Appoints David Sturgeon as CFO

RedCloud Signs Data Access Framework with Indian Distribution Group
RedCloud announced the execution of a Data Access & Usage Framework with a leading Indian distribution group operating across the apparel and footwear sector. The agreement provides RedCloud's RedAI infrastructure with access to a structured dataset representing approximately $35,049,856 in total transaction value across approximately 300,000 individual transactions, spanning seven years of continuous trading activity - which the Company believes marks a significant step in the accelerated deployment of RedCloud's RAID intelligence engine in India. The Company continues to evaluate potential opportunities for additional data agreements.RedCloud is already in active engagement with a number of FMCG companies through its India joint venture structure announced June 24, and expects the combination of this and other potential data agreements, alongside trade executed across its RedAI infrastructure, to create a compounding intelligence loop as deployment scales.
RedCloud Signs $120M Joint Venture Agreement with Dheer Marketing
RedCloud has signed a joint venture, or JV, and twenty-year licensing agreement of up to $120M with Dheer Marketing India, a Delhi-based distribution group, to deploy its RedAI infrastructure, powered by the Realtime AI for Distribution intelligence engine, across India, RedCloud's first market in Asia. Structured at $6M license fee per year plus a share of profits generated by RedAI within India, the agreement is intended to support the rollout of RedAI across India. The company expects the agreement to extend RedAI into adjacent consumer categories for the first time, demonstrating an expansion path beyond the $14.6T global FMCG market4 into broader consumer goods. The joint venture is expected to be incorporated as RedCloud India Private, with RedCloud holding 51% and Dheer Marketing India holding 49%, subject to receipt of customary regulatory approvals in India. Headquartered in New Delhi, the JV is intended to combine RedCloud's intelligent trade infrastructure with Dheer's established Indian distribution network, trading leading consumer footwear and apparel brands.
