Natural Gas Services Acquires Flatrock Compression for $120M
Natural Gas Services announced that it has acquired Flatrock Compression for $120M of consideration consisting of $110M in cash and $10M of newly issued NGS common stock. Flatrock is a leading provider of rental compression services with operations in the Permian Basin and Eagle Ford. Founded in 2001, Flatrock has a current rented fleet of approximately 86,000 horsepower with a significant majority consisting of large horsepower units and electric motor driven units. Overall, the Flatrock fleet is currently 95% utilized by horsepower.
Company Expects 2026 Adjusted EBITDA of $92.5M to $97.5M
The company said, "The Company now expects 2026 Adjusted EBITDA of $92.5 million to $97.5 million, compared to prior guidance of $90.5 to $95.5 million. The updated guidance reflects strong first quarter performance, high utilization, and contracted fleet expansion balanced with expectations for inflationary pressures in the remainder of 2026."

Natural Gas Services announced that Stephen Taylor, chairman emeritus and member of the board of directors, has informed the company that he will retire as a director at the 2026 annual meeting of shareholders and not stand for re-election to the board.
Natural Gas Services Raises FY25 Adjusted EBITDA Forecast to $78M-$81M, Up from $76M-$80M
The company said, "Driven by strong first-half results, contractual large horsepower additions, and continued confidence in our ability to execute our strategy, the Company raises its full-year 2025 Adjusted EBITDA guidance to $78 - $81 million. The Company expects 2025 growth capital expenditures of $95 - $110 million, which consists of new units under contract. Furthermore, we invest capital in new units only when we have a multi-year contract. The revision incorporates clearer timing for growth capex in the fourth quarter of 2025 and early 2026 tied to the deployment of approximately 90,000 horsepower. Customer deployments remain on schedule and the timing of deployments as previously noted is heavily weighted to the second half of 2025 and early 2026. Additionally, the Company anticipates 2025 maintenance expenditures of $11 - $14 million and its target return on invested capital of 20% remains unchanged."
