Brink's Acquisition of NCR Atleos Accepted in Principle by CMA
Brink's (BCO) announced that the United Kingdom's Competition and Markets Authority, or CMA, has accepted in principle Brink's proposed remedy for its planned acquisition of NCR Atleos (NATL). Brink's has been working constructively with the CMA to establish that the divestiture of NoteMachine/TestLink UK is an acceptable remedy to address the UK-specific concerns that the CMA shared with Brink's early in the review process. Brink's is committed to selecting a suitable buyer and concluding the divestiture process in a timely manner in order to avoid the CMA referring the acquisition to a Phase 2 investigation. As previously announced on September 30, the sale process is progressing, and Brink's remains engaged with a number of prospective buyers. Brink's acquisition of NCR Atleos remains on track to close early in the first quarter of 2027.
Brink's Company Acquisition of NCR Atleos Progressing Smoothly
The Brink's Company (BCO) issued the following statement in connection with the United Kingdom's Competition and Markets Authority Phase 1 decision in relation to the company's previously announced agreement to acquire NCR Atleos Corporation (NATL): "The CMA's Phase 1 decision was always contemplated as a potential outcome and reflects the local overlap between Brink's NoteMachine/TestLink UK business and NCR Atleos' Cardtronics business in the UK. Brink's has engaged constructively with the CMA throughout the CMA's Phase 1 review process, a fact which is reflected in the CMA arriving at today's decision under its 'fast-track' Phase 1 procedure. The potential sale of NoteMachine/TestLink UK was a remedy that was contemplated in the financial metrics that Brink's has previously disclosed and does not impact the $200 million in annual run-rate cost synergies that we continue to expect to achieve within three years of closing the transaction. The proposed sale process is progressing, with a number of prospective buyers having expressed strong preliminary interest. Brink's looks forward to continuing constructive engagement with the CMA. Supported by the constructive engagement with the CMA and meaningful progress in the proposed divestiture, the NCR Atleos acquisition remains on track to close early in the first quarter of 2027."
NCR Atleos Q2 Revenue at $1.103B, Below Consensus
Reports Q2 revenue $1.103B, consensus $1.13B. Tim Oliver, Atleos' CEO, said, "NCR Atleos delivered another strong quarter and a very good first half of 2026. Our service-led growth initiatives and investment in product innovation are encouraging financial institutions and retailers to choose our differentiated and comprehensive offering to meet their evolving self-service needs. In the first half, service and software business paced our growth and ATM hardware revenue was steady at historically high 2025 levels. Productivity programs that outpaced war-related pressures and tariff relief allowed profit margins to improve significantly. The regulatory and administrative processes required to complete our proposed transaction with The Brink's Company are progressing and we now anticipate an accelerated timeline to close early in the first quarter of 2027. At the end of June, both Brink's shareholders and NCR Atleos stockholders overwhelmingly voted to approve the transaction. This marked a significant step toward bringing together two great companies in a merger that will expand financial access, provide innovative solutions to our customers, and offer exciting opportunities to our employees."
