AtlasClear Holdings Plans to Acquire Digital Asset Business

AtlasClear Holdings announced that it has entered into a non-binding letter of intent to acquire a revenue-generating institutional digital asset business, and has executed an amendment to its previously announced letter of intent to acquire Ark Financial Services and its wholly owned subsidiary, Dawson James Securities. Together, the two acquisitions would extend AtlasClear's platform across traditional securities and institutional digital asset markets while adding established, revenue-generating operating businesses. The parties have agreed to keep the target's identity confidential until execution of a definitive agreement. Based on 2025 year-end results, the target generated approximately $9.2M in revenue and $3.5M in EBITDA, and Dawson James generated revenue of approximately $26.2M and EBITDA of just over $3.2M, making a combined addition of approximately $35.4M in revenue and approximately $6.7M in EBITDA. Based on unaudited revenue through June 2026 provided by the companies, the two businesses have a combined 2026 revenue run rate of over $56M. "AtlasClear's strategy is to build the infrastructure institutions need across today's financial markets," said John Schaible, executive chairman of AtlasClear. "Establishing a strong position in digital assets is of strategic importance to AtlasClear-institutional capital is moving into these markets, and the regulated infrastructure that serves it must move with it. If the proposed acquisition is completed, this business can potentially advance that strategy by adding an established digital asset business with existing revenue, regulatory registrations and client relationships that would have taken years to build independently."

AtlasClear Submits Regulatory Applications to Acquire Commercial Bancorp

AtlasClear announced that it has submitted regulatory applications seeking approval to acquire Commercial Bancorp, a bank holding company and the parent company of Farmers State Bank. The applications were filed with the Federal Reserve Board and the Wyoming Division of Banking, and represent the next step in the transaction process following the company's February announcement of a definitive share purchase agreement to acquire 100% of the outstanding shares of Commercial Bancorp. Under the terms of the SPA, approximately 73% of the total consideration is structured in shares of AtlasClear common stock, with the remainder payable in cash, subject to customary adjustments. Upon closing, Commercial Bancorp, and as a result, Farmers State Bank, will be wholly owned by AtlasClear, adding regulated deposit, payment, and lending capabilities to the company's existing clearing and financial infrastructure platform operated through its subsidiary, Wilson-Davis & Co., Inc. The company expects the acquisition to support its long-term strategy of building an integrated clearing, banking, and financial services platform. Completion of the acquisition remains subject to customary closing conditions, including receipt of required regulatory approvals from the Federal Reserve Board and the Wyoming Division of Banking, as well as the effectiveness of a resale registration statement covering the shares to be issued in the transaction.
