AgriFORCE Growing Systems (AGRI) announced that it will officially change its name to Avax One Technology (AVX) and begin trading its common shares under its new ticker symbol "AVX" on the Nasdaq Capital Market. The company anticipates that these Corporate Events will be effective upon the commencement of trading on the Nasdaq Capital Market on November 13. The corporate name change and stock ticker symbol change reflect the company's evolution of its business strategy in its new Avalanche digital asset treasury initiatives and its future development plans. There will be no change to the total number of shares outstanding or to shareholders' rights as a result of this update. Current shareholders of AgriFORCE Growing Systems are not required to take any action regarding this change. However, as a result, the company's CUSIP number has been updated to 05353F108.
AgriFORCE Growing Systems Shareholders Give Green Light to AVAX Deal
AgriFORCE Growing Systems announced that it has obtained shareholder approval to complete its previously announced transaction in support of becoming the first publicly-traded company dedicated to maximize ownership of AVAX, the native token of the Avalanche network. AGRI shareholders voted overwhelmingly in favor of closing the transaction, which includes an approximately $300M private investment, led by Hivemind Capital, as well as in support of all other measures put to a shareholder vote at the Annual Meeting held today. The completion of this transaction will position the company as the first Nasdaq-listed entity with a primary mission centered on the Avalanche ecosystem. The transaction is expected to close on or about October 30, subject to satisfaction of customary closing conditions.
AgriFORCE Growing Systems to Rebrand as AVAX One in Effort to Secure $550 Million
AgriFORCE Growing Systems announced it will be renamed AVAX One and plans to raise approximately $550 million, establishing the first NASDAQ-listed company with a dedicated strategy to maximize ownership of AVAX, the native token of the Avalanche network. "The architecture of financial markets is changing, and programmable blockchains like Avalanche are the new foundation," said Jolie Kahn, Chief Executive Officer of the Company. "For the first time, our company provides public market investors with a professionally-managed vehicle to invest directly in this transformation. Our mission is to maximize our ownership of this foundational technology, AVAX, on a per-share basis, delivering direct value to our shareholders as this new economy grows."
AgriFORCE Growing Systems Signs Deal with BlueFlare Energy
AGRIForce Growing Systems entered into a definitive agreement with BlueFlare Energy Solutions for the deployment of 4 MW of hydro-cooled power generation and mining infrastructure in Alberta, Canada. This agreement follows the previously announced binding Letter of Intent between the two companies. When fully deployed, the 4 MW installation is expected to deliver approximately 250 Ph/s of hash rate capacity and become operational within 90-120 days following AGRIForce's commitment payment. AGRIForce has secured a highly competitive $0.045/kWh energy cost under a three-year term, with full operations and maintenance provided by BlueFlare Energy to ensure optimized performance and reliability. As part of its broader Alberta expansion, AGRIForce has already commenced mining at its Berwyn site. With this new agreement, AGRIForce will operate three active mining sites in 2025, with a combined projected capacity of nearly 286 Ph/s. To advance this expansion, AGRIForce will provide a commitment fee of $415,000 plus GST this Friday.
AgriFORCE Growing Systems announces reverse stock split
AgriFORCE Growing Systems announced the company's Board of Directors has approved a reverse stock split of the company's issued and outstanding common shares whereby every nine (9) shares of its outstanding common shares will automatically be combined into one common share. The reverse split was approved by the company's shareholders on June 6, 2025 and will be effective as of the commencement of trading on July 28, 2025 at the open of market. As of the close of business on July 23, 2025, we had 7,851,398 shares of stock issued and outstanding. Post reverse split, this would equate to 872,377 shares. The reverse stock split is being implemented for the purpose of complying with the closing bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2).
