(IVAC), Intra-Cellular Therapies Inc (ITCI), Gritstone Bio, Inc. (GRTSQ), Enfusion (ENFN), ENDEAVOR GROUP HOLDINGS INC. (EDR), Air Transport Services Group Inc. (ATSG), Altair Engineering Inc (ALTR), ACCOLADE INC (ACCD), and VOXX International Corp (VOXX).
Accolade announces stockholder approval for Transcarent merger
Accolade announced that Accolade stockholders voted to approve the merger with Transcarent at the Accolade special meeting of stockholders held earlier. The transaction remains on track to be completed in the second quarter of calendar year 2025 and is subject to customary closing conditions, including the receipt of certain state regulatory approvals. Upon completion of the transaction, Accolade will become a privately held company and shares of Accolade common stock will no longer be listed on any public market.
Accolade and Transcarent announce HSR waiting period expiration for merger
Accolade and Transcarent announced the expiration of the waiting period under the Hart-Scott-Rodino, or HSR, Antitrust Improvements Act of 1976 with respect to the previously announced merger between the two companies. The transaction remains on track to be completed in Q2, subject to Accolade stockholder approval and satisfaction of other customary closing conditions.
Accolade downgraded to Hold from Buy at Truist
Truist downgraded Accolade to Hold from Buy with a price target of $7.03, down from $7.50, after Transcarent announced that it has entered into a definitive agreement to acquire the company for $7.03 per share in cash. The combined company will offer solutions to more than 1,400 employer and payer clients as Transcarent's WayFinding solutions and care experiences combines with Accolade's Advocacy, Expert Medical Opinion, and Primary Care offerings, the analyst tells investors in a research note, adding that employers are increasingly looking for "one stop" solutions and have been focused on consolidating digital health vendor partnerships.
Accolade downgraded to Hold from Buy at Needham
Needham downgraded Accolade to Hold from Buy without a price target after the company agreed to be acquired by Transcarent for $7.03 per share in cash.
