Trilogy Metals Signs $35.6M Investment Agreement with U.S. Department of War
Trilogy Metals announced that it has executed definitive agreements with the U.S. Department of War in connection with the previously announced strategic equity investment of approximately $35.6M to advance exploration and development of the Upper Kobuk Mineral Projects, or UKMP, in northwestern Alaska. The UKMP is held by Ambler Metals, the company's 50/50 joint venture with South32. The execution of the definitive documentation reflects the terms of the transaction previously announced by the company and marks the final major step ahead of closing. Subject to the satisfaction or waiver of customary closing conditions, the company expects the transaction to close in September. The DOW will invest approximately $17.8M in Trilogy Metals in exchange for 8,215,570 units at a price of $2.17 per unit, with each unit comprising one common share of Trilogy Metals and three-quarters of a 10-year warrant. Each full warrant will be exercisable at an exercise price of US$0.01 to acquire one common share of Trilogy following the earlier of the completion of Phase 1 of the Ambler Access Project or a change of control of the company. The entire proceeds received by Trilogy Metals will be reinvested in Ambler Metals. Upon completion of the transaction, the DOW will hold approximately 10% of Trilogy Metals, on a non-diluted basis. Trilogy Metals provided an update on the strategic equity investment by the U.S. Department of War of approximately $35.6M to advance exploration and development of the Upper Kobuk Mineral Projects in northwestern Alaska. Discussions with the DOW continue and the letter of intent signed in October 2025 remains in effect.
Trilogy Metals and U.S. Department of War Extend Investment Deadline to July 31
Trilogy Metals provided the following update on the previously announced proposed strategic equity investment of $35.6M by the U.S. Department of War. Trilogy and the DOW have agreed to extend the targeted closing date for the investment from May 31 to July 31 to account for the time required to finalize definitive documentation. The company expects to close the transaction on or before July 31. Ambler Metals, South32, Trilogy Metals, and the U.S. Government are discussing a framework agreement that would govern the financing and construction of the Ambler Access Project, the proposed 211-mile, industrial-use-only road from the Ambler Mining District to the Dalton Highway. As part of these discussions, the parties are exploring potential pathways for financing the Ambler Road. The U.S. Government has completed its Foreign Ownership, Control or Influence risk assessment of Trilogy Metals, enabling the parties to finalize the definitive agreements required for closing. The U.S. Congress has reauthorized the Defense Production Act, providing the continued statutory foundation for the U.S. Government's strategic equity investment program in domestic critical mineral companies, including this investment in Trilogy Metals. The extension to July 31 provides the time needed to finalize and execute the remaining transaction documents.

Trilogy Metals signs agreement for ATM equity distribution
Trilogy Metals has entered into an equity distribution agreement, effective as of November 7, with Cantor Fitzgerald & Co. and BMO Capital Markets Corp., as lead agents, and Canaccord Genuity, National Bank of Canada Financial and Raymond James for an at-the-market equity program. The Distribution Agreement will allow the company to distribute up to $200M of common shares of the company under the ATM Program.
