Solaris Energy Acquires Omega Foundation Services

Solaris Energy Infrastructure announced the acquisition of Omega Foundation Services, a leader in the specialized engineering, procurement and construction industry with significant expertise in heavy civil construction across multiple end markets, including large-scale data centers. Transaction Strategy and Highlights include: Adds to the Company's full-cycle power solutions, which now include early-stage site services, front-end plant installation & commissioning services and electrical substation development; Brings in-house a large team of skilled professionals with decades of specialized EPC experience across a wide range of applications and industries; Delivers numerous attractive growth opportunities in the data center, LNG, industrial and government sectors. Increases Solaris' control and scope of complex power project construction for both the Company and its customers. Expected to be immediately accretive to earnings and free cash flow per share. Funded through approximately $101M of net cash consideration, $28M debt and lease assumption, and issuance of approximately 3.6 million Class A Solaris shares.

Solaris Energy Invests in Deployable Energy to Collaborate on Microreactor Technology

Solaris Energy has made an equity investment in Deployable Energy and intends to collaborate with Deployable Energy on the commercialization of its deployable microreactor technology. The relationship combines Deployable Energy's mission to deliver transportable, resilient nuclear power with Solaris' experience deploying, operating, and maintaining distributed energy infrastructure for mission-critical applications. The companies see opportunities to explore how advanced nuclear energy technologies can complement existing power solutions.

Solaris Reports Q2 Revenue of $219M, Beating Expectations

Reports Q2 revenue $219M, consensus $207.12M. "We are executing, expanding our contracted scope and continuing to build Solaris into a proven power and infrastructure business well positioned to serve our customers," said Bill Zartler, Chairman and Co-Chief Executive Officer. "Our accomplishments and activities this quarter, from expanding the scope of our turnkey power plants and bringing GESA's service and aftermarket capabilities in-house, to taking an early equity position in a small modular reactor technology company, reflect our strategy to grow our offerings and capabilities to deliver valuable solutions to our customers."
