PetMed Express Appoints Tamar Elkeles as Independent Director
PetMed Express, parent company of PetCareRx, announced the appointment of Tamar Elkeles, PhD as a new independent director and Chair of the Compensation and Human Capital Committee, effective September 17, 2026. Elkeles' appointment follows the Company's recent announcement regarding its executive leadership transition, in which consumer and e-commerce sector veteran Jeff Willard was appointed Chief Executive Officer and President, succeeding Leslie Campbell, who served as Interim CEO and President alongside her role as Chair of the Board.
PetMed Express Appoints Jeff Willard as CEO
PetMed Express announced the appointment of Jeff Willard, as CEO and president, as well as a member of the board of directors, effective September 28, 2026. Willard succeeds Leslie C.G. Campbell, who, in addition to serving as chair of the board of PetMeds, has served as interim CEO and president since August 2025. Most recently, he has served as CEO of Stewart-MacDonald. With the successful completion of the search for and appointment of the new CEO, Campbell has informed the board of her decision to retire as chair and step down from the board, effective September 28. The board has appointed Justin Mennen, currently the lead independent director and chair of the corporate governance and nominating committee, to succeed Campbell as chair, effective September 28.
PetMed Express Appoints Andrew Parry as CTO
PetMed Express (PETS) announced the appointment of Andrew Parry as CTO, effective immediately. Parry will lead the company's technology strategy, platform architecture and engineering execution across its e-commerce, pharmacy and enterprise systems. Parry joins PetMeds from ODP Corporation (ODP), where he most recently served as senior vice president and chief information officer.
PetMed Express Enters $37M Sale-Leaseback Agreement with Investor
PetMed Express announced that it has entered into a definitive agreement for a sale-leaseback transaction with an institutional real estate investor involving the company's headquarters and distribution center buildings in Delray Beach, FL, for an aggregate purchase price of $37M. The transaction is subject to a due diligence period and satisfaction of certain customary closing conditions, including negotiation of a lease back to the company of the portion of the sold properties housing the company's offices and Florida distribution center. The company anticipates closing the transaction within the next 120 days.
PetMed Express Receives $3.00 Acquisition Proposal from SilverCape
PetMed Express confirmed that its board of directors has received an unsolicited, non-binding, and conditional proposal from SilverCape Investments to acquire all outstanding shares of the company's common stock for $3.00 per share in cash, following SilverCape's prior unsolicited, non-binding, and conditional proposal of $4.00 per share made on December 11, 2025. The board, with the assistance of its financial and legal advisors, will evaluate the proposal to determine the course of action that it believes is in the best interests of the company and all stockholders. SilverCape's proposal is not a formal offer, and stockholders are not required to take any action at this time. SilverCape ultimately informed the company's financial advisor on April 21, following months of negotiation on the agreement, that it was unwilling to execute a nondisclosure agreement containing a customary standstill provision at that stage. The board is prepared to engage with SilverCape regarding its latest proposal upon the execution of a customary nondisclosure agreement containing a standstill provision and, as previously disclosed in public filings, will consider any credible proposal. The board has not reached any determination regarding SilverCape's latest proposal, and there can be no assurance that any transaction will result. The company does not intend to comment further unless and until the board completes its review or determines that additional disclosure is appropriate or required. In the meantime, the board remains fully focused on overseeing the company's core operations.
