Orrstown Bank Appoints Adam Metz as New CEO

Orrstown Bank, a wholly owned subsidiary of Orrstown Financial, announced that Adam Metz has assumed the role of president and CEO of the bank and the company, effective June 2. Metz succeeds Thomas Quinn, who retired from the bank and the company effective June 1 following 17 years of leadership. Metz was also appointed to the board of directors of the bank and the company. Metz previously served in several senior executive positions at Orrstown Bank, most recently as senior executive VP and COO.

Berkshire Hathaway to Acquire Taylor Morrison for $72.50 per Share

The transaction is expected to close in early Q3 2026, subject to the completion of due diligence and the satisfaction of customary closing conditions. The properties are largely under two, triple net master leases in addition to two individually leased locations.

Orrstown Financial Discloses Cybersecurity Incident

Orrstown Financial disclosed Friday that on May 21, it received notice from a third-party vendor that such vendor had experienced a cybersecurity incident whereby a third-party gained unauthorized access to sensitive personal information of certain of the Company's customers. "The company is one of a number of organizations that have been affected by this vendor's cybersecurity incident," Orrstown added. Based on the company's investigation to date, its information systems and networks have not been accessed, compromised or affected by the incident. "The vendor has informed the company that there is currently no indication that the Company's customer information has been misused. Impacted customers will be notified of the incident and offered credit monitoring services," Orrstown said. "The incident has not had and is not expected to have a material impact on the company's operations, and the company does not currently anticipate that this incident will have a material impact on its financial condition or results of operations."

Orrstown Increases Tangible Book Value to $25.76 per Share in Q1 2026

Tangible book value per common share increased to $25.76 per share at March 31, 2026 from $25.21 per share at December 31, 2025. The Company's tangible common equity ratio was 9.2% at March 31, 2026 compared to 9.0% at December 31, 2025. "Orrstown delivered strong results across the board in another successful quarter," said Thomas R. Quinn, Jr., President and Chief Executive Officer. "Net income and diluted earnings per share increased quarter to quarter. Return on average assets and return on average equity continued to exceed peer multiples. Noninterest income again was a substantial component of our earnings. Noninterest expense declined as we continue to focus on creating efficiencies throughout the organization. The loan portfolio experienced growth across the whole footprint while maintaining a focus on quality. We believe that deposit growth, which accelerated during the second half of the quarter, will enable us to successfully manage our funding costs and maintain a healthy net interest margin in a competitive funding environment. Our credit metrics remain sound and our capital ratios are consistently building from earnings generation."
