LandBridge Company Plans to Offer $100M 6.250% Senior Notes
LandBridge Company announced that DBR Land Holdings, a subsidiary of LandBridge, intends, subject to market conditions, to offer $100M in aggregate principal amount of 6.250% senior notes due 2030 in a private placement to eligible purchasers. The New Notes are being offered as additional notes under the indenture, dated as of November 25, 2025, pursuant to which the Issuer previously issued $500M in aggregate principal amount of 6.250% senior notes due 2030. The New Notes will have identical terms as the Existing Notes, other than the issue date and issue price, and will be treated as part of the same series as the Existing Notes for all purposes under the Indenture. LandBridge intends to use the net proceeds from the Offering to repay a portion of outstanding borrowings under its revolving credit facility.
LB Pharmaceuticals Secures $150 Million Financing to Advance LB-102 Development
"We are taking meaningful steps to maximize the full potential of LB-102, leveraging clinically validated biology with purposeful innovation as the foundation for an expanded pipeline," said Heather Turner, Chief Executive Officer of LB Pharmaceuticals. "We recently announced a private placement of $150 million with participation from new and existing investors to expand the development of LB-102 into new indications where unmet needs align with the emerging clinical profile of LB-102. We are looking forward to our first pivotal trial readout and recently announced that, based on enrollment in our pivotal NOVA-2 trial in schizophrenia being more rapid than expected, we now project topline data readout in the first half of 2027, ahead of our prior guidance, and plan to schedule a pre-NDA meeting with the FDA soon thereafter in the second half of 2027. We are well positioned to advance multiple clinical programs and continue to expect topline data from our Phase 2 trial of LB-102 in bipolar depression in the first quarter of 2028 as well as data from our Phase 2 trial of LB-102 in adjunctive MDD in the first half of 2029."

LandBridge Forms Special Committee to Evaluate Company Structure Conversion
LandBridge Company announced that its board of directors has formed a special committee of independent directors to evaluate a potential conversion from a Delaware limited liability company to a Texas corporation. A primary driver of this evaluation is index eligibility. LandBridge anticipates such inclusion would broaden its eligible investor base, improve trading liquidity, and increase market visibility, each of which would enhance the Company's ability to pursue growth on favorable terms and support long-term shareholder value. The special committee will evaluate the potential benefits and risks of such a conversion, including the impact on LandBridge's governance structure and tax treatment
Company Raises FY2026 EBITDA Outlook to $210M-$230M
The company said, "The Company increases its outlook for fiscal year 2026, with Adjusted EBITDA expected to be between $210 million and $230 million. This updated guidance reflects increased visibility and conviction in our commercial pipeline for the remainder of 2026, combined with a more supportive macroeconomic environment."
