Equity Residential Acquires AvalonBay in Deal Expected to Complete Soon
S&P 500 constituent Equity Residential (EQR) is acquiring AvalonBay Communities (AVB) in a deal expected to be completed soon, pending final conditions. Post merger, the combined company will be renamed Vivmark Residential (VMRK) and will remain in the S&P 500.
AvalonBay and Equity Residential Merger Approved by Shareholders
AvalonBay Communities (AVB) and Equity Residential (EQR) announced that at their respective special meetings, AvalonBay stockholders and Equity Residential shareholders overwhelmingly approved all of the proposals necessary to close the pending merger of equals between AvalonBay and Equity Residential (the "merger"). More than 99% of the votes cast at the AvalonBay special meeting voted to approve the merger, which represented approximately 90% of the outstanding shares of AvalonBay common stock, as of the record date, and more than 99% of the votes cast at Equity Residential's special meeting voted to approve the issuance of Equity Residential common shares to AvalonBay stockholders as consideration in the merger, which represented approximately 90% of the outstanding Equity Residential common shares, as of the record date. The merger is expected to close on Monday, August 17, 2026, subject to the satisfaction or waiver of customary closing conditions. If the merger is completed, each share of AvalonBay common stock outstanding immediately prior to the merger will convert into the right to receive 2.793 Equity Residential common shares.
AvalonBay and Equity Residential Merge to Form Vivmark Residential
AvalonBay Communities (AVB) and Equity Residential (EQR) announced Vivmark Residential as the name for the combined company to be created through their merger of equals. Vivmark Residential will be the preeminent multifamily real estate company with a pro forma equity market capitalization of approximately $53B and an enterprise value of approximately $71B, with more than 180,000 rental apartments and over 10,000 apartments under construction. Vivmark Residential will have the differentiated scale, capabilities, and balance sheet strength to accelerate growth and redefine leadership in rental housing. Vivmark Residential expects to use VMRK as its New York Stock Exchange ticker symbol. The companies said, "The name Vivmark carries two aspirational ideas. The first is viv, from the Latin vivere, meaning to live fully. It is the root of vivid and vitality, words that evoke life at its most complete and most genuinely alive. The second is mark, a symbol that reflects quality, distinction, and lasting impact. Together, they capture what Vivmark Residential is built to deliver. For residents, it represents a new standard for the experience of home. For team members, it embodies a place where meaningful work and real opportunity go hand in hand. For investors, it signals a platform built for disciplined, long-term growth and value creation." Additional brand elements, including the logo, typography, and visual identity, will be revealed in the coming weeks. The combined company will operate as Vivmark Residential upon completion of the merger. The new company name will not result in community name changes at closing. The merger remains subject to satisfaction of customary closing conditions, including approval by the shareholders of each company. AvalonBay and Equity Residential remain separate and independent companies until the transaction closes. Until closing, Equity Residential common shares will continue to be listed on the New York Stock Exchange under the ticker symbol "EQR" and AvalonBay common stock will continue to be listed on the New York Stock Exchange under the ticker symbol "AVB".
Nasdaq Composite Declines as Tesla Earnings Weigh
Despite the third consecutive session of gains by Semiconductors, Nasdaq Composite was the worst performing major index, ending the day near session lows below the 25,700 level. Losses among key software names as well as new low in SpaceX, down another 7%, weighed on the tech-heavy index. In the benchmark S&P 500 Utilities was the best performing sector, followed closely by Basic Materials which benefited from a bounce in precious metal space. Communication Services was the worst performing sector as Google fell 1.5% and Meta declined nearly 3%.In the opening hour of the evening session, equity futures remain on the back foot as S&P 500 e-minis falls 0.3% and Nasdaq 100 contract is down by 0.5%. Sentiment is pressured by earnings reports from Tesla, which fell over 4% on Q2 earnings miss and reiterated expectations of climbing capital expenditures, as well as Alphabet, down 3% - where selling was similarly driven by higher capex forecasts. Also reporting results was IBM, though despite the cut in its revenue growth guidance, the stock is flat, having found support after the pre-announcement earlier this month that yielded a 25% selloff.In commodities, WTI crude oil remains bid near the $88 per barrel level, with tensions in the Middle East not showing any signs of letting up.
